The listed entity shall submit a compliance certificate to the exchange, duly signed by both that is by the compliance officer of the listed entity and the authorized representative of the share transfer agent, wherever applicable, within one month of end of each half of the financial year, certifying maintaining physical & electronic transfer facility either in house or RTA as applicable.

In this article, we are providing you basic guidance as to the execution of new listing agreement as directed by Securities and Exchange Board of India (SEBI) to all listed entities in its circular dated 13th October, 2015. The SEBI has through a Circular directed all the listed entities to execute a fresh listing agreement in accordance with the Circular No. CIR/CFD/CMD/6/2015 dated 13th October, 2015.

SEBI vide its Notification No. SEBI/LAD-NRO/GN/2015-16/013 dated 2nd September, 2015 had notified SECURITIES AND EXCHANGE BOARD OF INDIA (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 which have become effective from 01st December, 2015.
