The Securities and Exchange Board of India (SEBI) has proposed to ease the norms for delisting of companies, issue new regulations norms on insider trading, make certain provisions in the listing agreement mandatory and also to introduce Electronic IPO (E-IPO).
1. How are investment advisers regulated in India? The SEBI (Investment Advisers) Regulations, 2013 (IA Regulations) have been notified on January 21, 2013. The IA Regulations came into effect from April 21, 2013. The regulations specify conditions for registration, certification, capital adequacy, risk profiling and suitability, disclosures to made, code of conduct, records to be maintained, manner of conducting inspection, etc.
Stock market regulator, Securities & Exchange Board of India (SEBI) issued a circular dated 15th September, 2014 to introduce certain amendments in revised clause 49 of listing agreement, effective from 1st October, 2014.The gist has been produced hereinbelow:-
SEBI has vide Notification No. LAD-NRO/GN/2014-15/06/1372 dated 25th August, 2014 issued Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) (Second Amendment) Regulations, 2014 (the Amendment) making few amendments in the conditions for IPO, Minimum offer to Public, allocation of net offer to public, pricing of equity shares and Schedule XI dealing with the Book Building process. Several portions have been made in line with SEBI (Substantial Acquisition of Shares and Takeover) Regulations, 2011.

Globally REIT is well developed phenomena, serving dual purpose of providing investor with alternative investment avenue. Initially it was introduced in the US in the 1960s.
Since failure to make disclosure under each regulation constitutes independent offence attracting independent penalty, in the facts of present case, where there are multiple offences it would be just and proper to impose penalty for each offence independently depending upon the delay or default in making disclosures which are mandatory.
Circuit Filter/Circuit Breaker is the band that set upper and lower limit within which stock / Sensex can fluctuate on any particular day. These filters restrict extreme price movement and curb price manipulation to some extent by stock operators. Circuit Filter also protects investors from extreme price fluctuation.
