The Registrar of Companies, Coimbatore passed an adjudication order dated 6 January 2026 under Section 454 of the Companies Act, 2013, imposing penalties for violation of Section 405(4) due to delayed filing of MSME Form I. The company failed to submit MSME-1 within the prescribed timelines for multiple half-year periods and later filed the returns with delays of 97 days and 94 days, contravening Section 405 read with the Specified Companies Order, 2019. Although the company subsequently filed the forms and voluntarily opted for adjudication, the authority held that the defaults attracted penalties up to the statutory maximum. Consequently, a penalty of ₹3 lakh each was imposed on the company and on key managerial personnel, including the Managing Director, Whole-Time Director, Company Secretary, and Chief Financial Officer, payable from personal sources. The order directs payment within 90 days through the MCA e-adjudication portal and provides a right of appeal to the Regional Director.
