Circular No. MRD/DP/23/2010, dated 5-8-2010- At least 50% of other than promoter holdings as per clause 35 of Listing Agreement are in dematerialized mode before shifting the trading in the securities of the company from TFTS to normal Rolling Settlement. For this purpose, the listed companies shall obtain a certificate from its Registrar and Transfer Agent (RTA) and submit the same to the stock exchange/s. However, if an issuer-company does not have a separate RTA, it may obtain a certificate in this regard from a practicing company Secretary/Chartered Accountant and submit the same to the stock exchange/s.

In order to ensure better compliance with the Know Your Client (KYC) norms it has been decided that with effect from August 16, 2010 such PAN non-compliant demat accounts shall also be “suspended for credit” other than the credits arising out of automatic corporate actions. It is clarified that other credits including credits from IPO/FPO/Rights issue, off-market transactions or any secondary market transactions shall not be allowed into such accounts.
Market regulator SEBI today extended the deadline for mutual funds to implement the ASBA facility for new fund offers to October 1. Under ASBA–Application Supported by Blocked Amount– deposits of applicants remain in their accounts till the shares are alloted.
Pursuant to SEBI circular no. MIRSD/DR-1/Cir-16/09 dated November 06, 2009 prescribing the framework governing the market access through Authorised Persons of the stock brokers, SEBI has received representations from the stock exchanges and market participants seeking review of the certification requirements for Authorised Persons. Accordingly, it is decided to rationalize the certification requirements for the Authorised Persons in line with those applicable to the stock brokers and Sub-Brokers.
The Takeover Regulations Advisory Committee constituted under the Chairmanship of Shri. C. Achuthan submitted its report to SEBI Chairman Shri. C. B. Bhave today. Considering the substantive changes recommended upon review of the existing law governing substantial acquisition of shares and takeovers, the Committee has comprehensively re-written the regulations. The draft Regulations form an integral part of the report.
The issue regarding call auction and its use in various session, including pre-open session was deliberated in Secondary Market Advisory Committee (SMAC). Based on the recommendation of the committee and proposal received from the stock exchanges, it has been decided to introduce call auction mechanism in pre-open session.

It has been decided to make ASBA bid-cum application forms available for download and printing, from websites of the Stock Exchanges which provide electronic interface for ASBA facility i.e. Bombay Stock Exchange (BSE) and National Stock Exchange (NSE). The ASBA forms so downloaded shall have a unique application number and can be used for making ASBA applications in public issues. A sample of the form is enclosed at Annexure A.
