The Income Tax Appellate Tribunal (ITAT), Mumbai, has delivered a comprehensive ruling in the case of Deputy Commissioner of Income Tax (DCIT) vs. Motilal Oswal Securities Ltd., addressing two key issues related to corporate taxation: the allowability of Employee Stock Option Plan (ESOP) expenses and the deduction for Corporate Social Responsibility (CSR) contributions under Section 80G of the Income Tax Act, 1961. The tribunal’s order, dated August 18, 2023, for the assessment years 2017-18 and 2018-19, dismissed the appeals filed by the revenue, upholding the decisions of the Commissioner of Income Tax (Appeals) [CIT(A)].

The first and primary issue concerned the deduction of ESOP expenses. The assessee, Motilal Oswal Securities Ltd., had claimed a deduction of ₹65,81,90,485 for ESOP expenses in the assessment year 2017-18. The Assessing Officer (AO) disallowed this claim, arguing that the ESOP costs were notional losses, not actual expenditures. The AO further contended that the issuance of shares at a concessional rate constituted a capital expenditure that increased the company’s capital base, and that the liability was contingent and not crystallized.

The assessee had used the intrinsic value method for accounting, where the difference between the market price of the shares on the grant date and the exercise price was treated as an employee compensation cost. This difference, amounting to ₹28,65,26,826, was claimed as a business expenditure under Section 37(1) of the Act. The CIT(A) had previously ruled in favor of the assessee, relying on a significant judicial precedent.
