  • Due Date: 30th May of each year (for the financial year ending 31st March)
  • Filing Process:

1.Download the latest version of Form 11 and the instruction kit from the MCA portal.

2. Fill in all required data, including partner contributions and changes during the year.

3. Digitally sign the form using the Designated Partner’s DSC.

4. Conduct a pre-scrutiny check on the MCA portal to validate the form.

5. Upload the signed form on the MCA portal through your registered account.

Who is Required to File Form 11?

The filing obligation applies to all LLPs, including:

  • LLPs that have not commenced business
  • LLPs with no income or activity during the year
  • Newly incorporated LLPs (even if incorporated close to year-end)

Non-filing is not excused based on inactivity or dormancy.

Consequences of Non-Compliance

Failure to file Form 11 within the deadline results in:

  • A late filing fee of ₹100 per day, with no upper limit
  • The LLP being marked as defaulting, which may hinder other filings
  • Potential strike-off proceedings by the ROC for continuous default

Other Related Annual Compliances

  • Form 8 (Statement of Account & Solvency): To be filed by 30th October each year, declaring the LLP’s solvency status and financial statements.
  • Income Tax Return: Must be filed annually, regardless of business activity.
  • Audit Requirements: LLPs with turnover exceeding ₹40 lakh or contribution exceeding ₹25 lakh must have their accounts audited by a Chartered Accountant.
