Ministry of Corporate Affairs (MCA) has recently imposed a penalty on a company, citing violations related to board meeting attendance registers. The case involves discrepancies in the authentication process, leading to regulatory action.

The company, People’s General Hospital Private Limited, came under scrutiny during an inspection of its books of accounts and statutory registers. It was found that the attendance sheet of board meetings for multiple financial years lacked serial numbering and authentication by the Chairman or Company Secretary, as mandated by Secretarial Standard-1 and Section 118(10) of the Companies Act, 2013.

Subsequently, the Registrar of Companies (ROC), Gwalior, issued a show cause notice to the company and its officers in default, highlighting the violations and seeking a response. Despite the company’s submission of a reply, it was deemed unsatisfactory, leading to further inquiry proceedings.

Notices for inquiry were issued, and a hearing was scheduled where the company’s representative appeared and presented their case. However, considering the gravity of the violations, penalties were imposed under Section 118(11) of the Companies Act, 2013. The penalties were as follows:

  • Company: Rs. 25,000/-
  • Managing Director: Rs. 5,000/-
  • Whole Time Director: Rs. 5,000/-
  • Ex-Company Secretary: Rs. 5,000/-

The adjudicating officer emphasized that the penalties should be paid from personal sources/income of the officers in default and directed payment through the Ministry of Corporate Affairs portal.
