E-Form DIR-3 KYC is required to be filed pursuant to Rule 12A and Rule 11(2) and (3) of The Companies (Appointment and Qualification of Directors) Rules, 2014.

Rule 12A of Companies (Appointment and Qualification of Directors) Rules, 2014 as introduced vide Companies (Appointment and Qualification of Directors) fourth Amendment Rules, 2018 : 

“Every individual who has been allotted a Director Identification Number (DIN) as on 31st March of a Financial Year as per these rules shall, submit e-form DIR-3-KYC to the Central Government on or before 30th April of immediate next financial year. 

Provided that every individual who has already been allotted a Director Identification Number (DIN) as at 31st March, 2018, shall submit e form DIR-3 KYC on or before 31st August, 2018.”

So why are you waiting for the last date?

Your DIN will be deactivated after 31st day of August, 2018 and you will face a exact penalty of Rs.5,000/-. So it is better to update your KYC now.

Only few Documents are required to complete your KYC

  1. DSC of Director duly registered on mca.gov.in (the name must be same in DSC as mentioned in the PAN);
  2. Self attested copy of PAN card;
  3. Self attested copy of Aadhar card;
  4. Self attested copy of Passport, if any;
  5. Self attested copy of electricity Bill, Mobile Bill, Bank statement of Director (latest by 2 Months) of his/her present address;
  6. Latest Passport size photo;
  7. Director personal Mobile No. to verify one time password (OTP);
  8. Director personal E-mail ID to verify one time Password (OTP);
  9. Engagement Letter of Professional to certify the form;
  10. DIN Declaration cum KYC (optionally to be taken by the practicing professional).

If the Director is a Foreign National than his/her documents must be Notarized/Appostile by the respective Authority and the same shall be attached in the form to complete the KYC.

Accordingly, every Director including the Director disqualified by the respective Registrar of Companies, who has been allotted DIN on or before 31st March, 2018 would be mandatorily required to file form DIR-3 KYC on or before 31st August, 2018.

The form should be filed by every Director using his/her own DSC (class 2) and should be duly certified by a practicing professional.

After expiry of the due date by which the KYC form is to be filed, the MCA21 system will mark all approved DINs (allotted on or before 31st March 2018) against which DIR-3 KYC form has not been filed as ‘Deactivated’ with reason as ‘Non-filing of DIR-3 KYC’.

So please complete your KYC before 31st August 2018 to save penalty of Rs.5,000/- and to become a part of good corporate governance as the step was taken by the Ministry to trace the records of all the Directors who has been allotted a DIN under Companies Act, 2013.
