The Registrar of Companies (ROC) Vijayawada, acting under the Ministry of Corporate Affairs, has imposed a total penalty of Rs. 75,000 on three directors of THREE SEASONS EXIM LIMITED for non-compliance with the statutory requirements for issuing board meeting notices. The adjudication order, dated October 10, 2025, determined that the company violated Section 173(3) of the Companies Act, 2013, which mandates that a notice of not less than seven days must be given to every director for a Board meeting. The penalty was levied under Section 173(4). The default was brought to light through an inspection, where it was confirmed that the company failed to serve the mandatory seven-day notice for two specific board meetings, held on May 4, 2017, and May 19, 2017, to the complainant Director, Mr. Upendranath Nimmagadda. Furthermore, the company was unable to produce documentary proof confirming that the statutory notice had been correctly dispatched to the concerned director’s registered address.

In response to this procedural lapse, the ROC imposed the maximum statutory penalty of Rs. 25,000 on each of the three officers in default: Sai Raj Jampana (DIN 06379136), Padmavathi Jampana (DIN 01468976), and Bala Gandhi Raju Jampana (DIN 01469023). This resulted in the cumulative fine of Rs. 75,000. The order directs that the penalty imposed upon these directors must be paid from their personal sources/income within 90 days of receiving the official copy of the order. The directors are also required to rectify the default by ensuring strict adherence to the notice period and proper documentation for all future board meeting notices. The company and the penalized officers are advised that any appeal against this adjudication must be filed in writing with the Regional Director, RD Hyderabad, within a period of sixty days from the date of the order’s receipt, as per the provisions of Section 454 of the Act.

ORDER FOR ADJUDICATION OF PENALTY UNDER SECTION 454 OF THE COMPANIES ACT, 2013 (‘THE ACT’) FOR VIOLATION OF SECTION 173(4) OF THE COMPANIES ACT, 2013.

A. Appointment of Adjudicating Officer:

Ministry of Corporate Affairs vide its Gazette  notification number S.O. 831(E) dated 24/03/2015 appointed undersigned as Adjudicating Officer in exercise of the powers conferred by section 454 of the Companies Act, 2013 [herein after known as Act] read with  Companies (Adjudication of Penalties) Rules, 2014,  for adjudging penalties under the provisions of this Act.

B. Company details:

C. Provisions of the Act:

Every officer of the company whose duty is to give notice under this section and who fails to do so shall be liable to a penalty of twenty-five thousand rupees

D. Facts about the case:

1. Default committed by the officers in default/noticee – As per Inspection of the company.

2. As per Section 173(3) of the Companies Act, 2013, A meeting of the Board shall be called by giving not less than seven days’ notice in writing to every director at his address registered with the company and such notice shall be sent by hand delivery or by post or by electronic means.

E. Order:

1. As per the Inspection Report the IO has observed that the company has failed to serve the notice of board meeting dated 04.05.20217 and19.05.2017 to the complainant Director Mr. Upendranath Nimmagadda, and the company could not produce the proof of sending notice. Therefore, the company and its directors has violated Section 173(3) of the Companies Act,2013.hence penalty u/sec 173(4) of the Companies Act,2013 is Imposed.

2. The details of penalty imposed on the company, officers in default and others are shown in the table below:

3. The notified officers in default/noticee shall rectify the default mentioned above and pay the penalty, so applicable within 90 days of receipt of the order.

4. The notified officers in default/noticee shall pay the penalty amount via ‘e-Adjudication’ facility which can be accessed through the respective login IDs on the website of Ministry of Corporate Affairs and upload the copy of paid challan / SRN of e-filing (if applicable) on the ‘e-Adjudication’ portal itself. It is also directed that the penalty so imposed upon the officers in default shall be paid from their personal sources/income.

5. Appeal against this order may be filed in writing with the Regional Director, RD Hyderabad within a period of sixty days from the date of receipt of this order, in Form ADJ setting for the grounds of appeal and shall be accompanied by a certified copy of this order [Section 454 (5) & 454 (6) of the Act, read with Companies (Adjudication of Penalties) Rules, 2014].

6. For penal consequences of non-payment of penalty within the prescribed time limit, please refer Section 454(8) of the Companies Act, 2013.
