Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) (Third Amendment) Regulations, 2025

The Securities and Exchange Board of India (SEBI) issued the (Issue of Capital and Disclosure Requirements) (Third Amendment) Regulations, 2025, on October 31, 2025, to modify the existing SEBI (ICDR) Regulations, 2018. These amendments will come into force 30 days after their publication in the Official Gazette. The regulations introduce specific changes to the allocation norms for anchor investors in public issues, as detailed in Schedule XIII, Part A, paragraph (10). For an allocation of up to ₹250 crore, a minimum of 2 and a maximum of 15 anchor investors are permitted, with a mandatory minimum allotment of ₹5 crore per investor. For allocations exceeding ₹250 crore, a maximum of 15 investors are permitted for the first ₹250 crore, plus an additional 15 investors for every subsequent ₹250 crore or part thereof, maintaining the ₹5 crore minimum allotment per investor. Furthermore, 40% of the anchor investor portion is now reserved, with 33% reserved for domestic mutual funds and 67% reserved for life insurance companies and pension funds. Any under-subscription in the life insurance/pension fund category may be allocated to domestic mutual funds.

SECURITIES AND EXCHANGE BOARD OF INDIA (ISSUE OF CAPITAL AND DISCLOSURE REQUIREMENTS) (THIRD AMENDMENT) REGULATIONS, 2025

F. No. SEBI/LAD-NRO/GN/2025/271.—In exercise of the powers conferred under section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, namely: –

1. These regulations may be called the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) (Third Amendment) Regulations, 2025.

2. They shall come into force on the 30th day from the date of their publication in the Official Gazette.

3. In the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, –

I. in Schedule XIII, in Part A, in paragraph (10),

(i) in sub-paragraph (c), in clause (I), sub-clauses (i), (ii), and (iii) shall be substituted with the following sub-clauses, namely,

“(i) minimum of 2 and maximum of 15 such investors shall be permitted for allocation up to two hundred fifty crore rupees, subject to minimum allotment of five crore rupees per such investor;

(ii) in case of allocation above two hundred fifty crore rupees, a minimum of 5 such investors and a maximum of 15 such investors for allocation up to two hundred fifty crore rupees and an additional 15 such investors for every additional two hundred fifty crore rupees or part thereof, shall be permitted, subject to a minimum allotment of five crore rupees per such investor.”

(ii) sub-paragraph (d) shall be substituted with the following sub-paragraph, namely,

“Forty per cent of the anchor investor portion, within the limits specified in sub-paragraph (b), shall be reserved as under –

(i) 33 per cent for domestic mutual funds; and

(ii) 67 per cent for life insurance companies and pension funds:

Any under-subscription in the reserved category specified in clause (ii) above may be allocated to domestic mutual funds.

Explanation: For the purpose of clause (ii), –

(A) “life insurance company” means an entity registered with the Insurance Regulatory and Development Authority of India under the provisions of the Insurance Act, 1938;

(B) “pension fund” means a fund registered with the Pension Fund Regulatory and Development Authority under the provisions of the Pension Fund Regulatory and Development Authority Act, 2013.”.

    the Bifurcation in the amended limit as provided in this article is incorrect. out of 40% of anchor portion, a) 33.33% is for domestic mutual funds; and
    b) 6.67% is for life insurance companies and pension funds.
