Pro Tip: This determination relies entirely on the AOC-4 you just filed. If the system forces you to file MGT-7 when you thought you were a Small Company, go back and check the Turnover/Capital figures you entered in AOC-4!
Real-World Hurdles to Clear Before Uploading
1. The Infamous Registered Office Photo
This is the most “human” requirement, and it’s surprisingly strict. It’s not just proof of address; it’s proof of presence.
- What they want: You need a high-quality photo of your Registered Office that clearly shows the company’s name and CIN on a visible sign or board (as required by Section 12).
- The Critical Twist: You must also submit a photo of the inside view where one Director is physically present in the frame. That exact same Director must be the one who signs the MGT-7/7A form using their DSC. ROC inspectors use this to verify the physical location and the authenticity of the signatory.
2. The Shareholders List: PAN and Gender
The shareholder details now need to be filled in a separate pre-defined Excel Utility (you download it from the portal). Don’t try to use your own spreadsheet—it won’t validate!
- New Mandatory Fields: The Excel utility requires the PAN of every shareholder and a new breakdown of shareholders by Gender. While the individual gender field in the list might be optional, the overall form requires a gender-wise summary (Male, Female, Others) of the number of shareholders.
- The Consistency Check: The total shares listed in this Excel sheet must exactly match the Paid-up Capital figure you filed in the AOC-4. Any variance means resubmission.
3. Digital Signature (DSC) Authority
The V3 system is incredibly sensitive about DSC mapping.
- The V3 Problem: If the Director signing MGT-7/7A has an expired DSC, an incorrectly mapped DIN, or a DIN that doesn’t match the one associated with the user profile, the form will not validate.
- The Human Solution: Ensure your DSC is Class 3, valid, and that the PAN/DIN linked to it matches the Director’s master data on the MCA portal before you even download the form.
The Last Piece of Advice
MGT-7/7A often relies on data filed throughout the year (like appointments via DIR-12, charges via CHG forms). If you have any pending filings, complete them first. A clean MCA record makes for a quick and painless MGT filing.
