The shift to the MCA V3 portal for annual ROC filings has introduced new complexities. To help you navigate the system smoothly, here are the most common real-world errors encountered while filing Form AOC-4 (Financial Statements) and Form MGT-7A/MGT-7 (Annual Return), along with tested solutions.

Part I: Form Sequence and System Errors

Q1: Which form must I file first, AOC-4 or MGT-7/7A?

A: You must always file Form AOC-4 first (Financial Statements).

The MCA V3 system is designed for sequential filing. The financial data filed in AOC-4 (like Paid-up Capital, Turnover, etc.) is automatically pulled and verified by the system when you file MGT-7/7A. Filing MGT-7/7A before AOC-4 will cause a system rejection.

Q2: I’m getting a ‘Data Mismatch’ error even though the data is correct. What’s wrong?

A: This often happens due to a mismatch between the pre-filled data and your current form entry, or an issue with previous year figures.

  • Solution: If you are changing the previous year’s figures (e.g., due to reclassification or correction), ensure you provide a detailed justification in the designated notes/explanation field within the AOC-4 form. The V3 system flags any alteration to pre-filled data without justification.
  • Another possibility: Check if your Company Master Data is correct. If your Paid-up Capital or Director details are outdated, it may cause a mismatch.

Q3: My Digital Signature Certificate (DSC) keeps failing validation. How can I fix this?

A: DSC issues are the most frequent technical hurdle.

  • Solution 1 (Validity): Ensure your DSC is a valid Class 3 DSC and is not expired.
  • Solution 2 (Mapping): Verify that the DSC is correctly registered and mapped to the user ID (Director or Professional) who is supposed to be signing the form on the V3 portal. A mismatched PAN/DIN linked to the DSC will fail.
  • Solution 3 (Browser): Clear your browser’s cache, update the DSC drivers, and try using a different browser (Chrome or Edge are generally recommended).

Part II: Data Entry and Disclosure Errors

Q4: The ROC rejected my MGT-7A because the Registered Office photograph was “improper.” What is required?

A: The requirement for the Registered Office photograph is now very specific to ensure authenticity.

  • Solution: The photograph attached to MGT-7/7A must clearly show the external view of the building along with the Company Name and Registered Office Address prominently displayed on a board or signage. The details on the board must exactly match the records on the MCA portal (Section 12(3)(a)).

Q5: I’m filing MGT-7A, but the system says I should be filing MGT-7 (for large companies). Why?

A: The V3 system determines the applicable form (MGT-7A for small companies/OPCs, MGT-7 for others) based on the financial thresholds derived from your latest filed AOC-4.

  • Solution: If your company is genuinely a Small Company, check the AOC-4 that you filed for the relevant financial year. If the Turnover or Paid-up Capital exceeds the limit for a Small Company, the system will force you to file MGT-7. You may need to review your AOC-4 filing first.

Q6: What specific shareholder details are mandatory in the MGT-7A Excel sheet that often lead to rejection?

A: The MGT-7A Excel validation sheet requires complete and accurate data, especially for two key fields:

  • Solution 1: PAN: The Permanent Account Number (PAN) of every shareholder is generally mandatory for identification and verification.
  • Solution 2: Folio Number: The Folio Number associated with the shareholding must be correctly provided, particularly for physical shareholders. Missing or inaccurate PAN/Folio can trigger validation errors.
  • Crucial Note: Ensure you use the pre-defined Excel template downloaded from the MCA portal, as external sheets will not be accepted.

Part III: New V3 Form Features & Linked Filings

Q7: I see forms like AOC-1, AOC-2, and CSR-2 mentioned. Do I still attach them as PDF?

A: No, not necessarily. In V3, many forms are now filed as “Linked Filings” or Web Forms within the AOC-4 process.

  • Solution:When filling out AOC-4, if the applicability is triggered (e.g., you have a subsidiary, which triggers AOC-1), the V3 portal will open a separate web form for you to fill in the required details (like AOC-1 or AOC-2). These web forms are validated and submitted with the main AOC-4, not merely attached as separate PDFs.

Q8: The MGT-7 form asks for Gender-wise Shareholder breakup. Is this mandatory?

A: Yes, it is mandatory to provide the gender-wise breakup (Male, Female, Others) for shareholders as per the new requirements in Form MGT-7/7A. This is a new compliance requirement to enhance corporate transparency and data quality. Ensure your data compilation reflects this new level of detail.
