Filing the annual return is a critical task for any company, and for a long time, this meant wrestling with the familiar old MGT-7 form on the MCA’s V2 portal. But with the MCA’s big digital upgrade, the form has been completely revamped and is now live on the new V3 portal as of July 14, 2025. This change is more than just a new look; it’s a new way of doing business. Here’s a guide to the key changes you need to know.
From Offline PDFs to a Smart, Web-Based System
The biggest shift is in the user experience. You’ll find that much of the new MGT-7 is a web-based form, similar to the new AOC-4. While the old system relied on you downloading a PDF, filling it offline, and then uploading it, the new V3 portal allows you to complete the form directly on the website. This has a few major advantages:
- Real-time Validation: As you fill out the form, the system performs instant checks for errors. This helps you avoid common mistakes that would have led to rejections in the past.
- Pre-filled Data: Much of the company’s master data, like its name, CIN, and registered address, will be pre-filled, saving you time and ensuring consistency.
- Offline Excel Utility: For sections with large amounts of data, like the list of shareholders and debenture holders, the MCA has introduced a downloadable Excel template. You can fill this out offline and then upload it, which is a great solution for managing extensive records.
New and Enhanced Disclosures
The new MGT-7 form requires more detailed information than before, aiming for greater transparency and accuracy.
- A Photo of Your Registered Office: This is a big one. You now have to attach photographs of your company’s registered office. This includes an outside view of the building and a prominent sign showing the company’s name. It’s a way for the MCA to verify the physical existence of the registered address.
- Gender-wise Shareholder Details: The new form asks you to provide a breakdown of shareholders by gender: male, female, and transgender. This is a move towards capturing a more detailed demographic profile of the company’s ownership structure.
- Designated Person Details: There is a new section to report the details of the designated person responsible for providing information related to beneficial ownership. This helps the MCA keep a clearer record of key individuals linked to the company.
The “MGT-8” is No Longer a Separate Attachment
For companies that are required to get a Secretarial Audit, the MGT-8 report from the Practicing Company Secretary (PCS) was a separate PDF attachment. With the V3 portal, MGT-8 is now a linked form. This means the details from the audit report are integrated directly into the MGT-7 web form, eliminating the need to upload a separate PDF and streamlining the entire process.
The changes to the MGT-7 form on the V3 portal are a big step towards a more robust and efficient system. While it takes some getting used to, the new format helps reduce errors, increases transparency, and ultimately makes corporate compliance more streamlined in the long run.
