Legal provisions w.r.t to Form CHG-4:

The eForm CHG-4 is required to be filed pursuant to Section 82(1) of the Companies Act, 2013 and Rule 8(1) of Companies(Registration of Charges) Rules, 2014.

What is Section 82?

A company is required to give intimation to the Registrar in the Form CHG-4, on the payment or satisfaction in full of any charge registered with ROC within a period of thirty days from the date of such payment or satisfaction.

Provided that the Registrar may, on an application by the company or the charge holder, allow such intimation of payment or satisfaction to be made within a period of three hundred days of such payment or satisfaction on payment of such additional fees. 

What is the main agenda of Form CHG-4?

Every company shall intimate the RoC of the payment or satisfaction (in full) of any charge relating to the company within 30 days from the date of such payment or satisfaction.

The foreign companies require to file eForm CHG-4 with the Delhi RoC Office.

What is Form CHG 4 in ROC Compliances

Note: In case Form CHG 4 is being filed beyond 30 days from the date of satisfaction of charge, then the application to Central Government for condonation of delay is required to be filed in eForm CHG-8 after filing this eForm and this eForm will be processed by the Registrar office after filing order for approval for condonation of delay in e Form INC-28.

Charge ID Number

Charge ID is 8 digit number which Company had received during the time of Charge Creation by filing form CHG-1 with ROC.

Who is the applicant for filing form CHG 4 ?

The Company or Charger holder (Bank/Financial Institution) both can file Form CHG 4 to ROC for satisfaction of Charge.

Date of Satisfaction of Charge:

This date should be the date as written in the NOC received from the Charger holder (Bank/Financial Institution).

 

Mandatory Attachment:

Letter of the charge holder stating that the amount has been satisfied.

(NOC from Charger holder (Bank/Financial Institution).

STP Or Non STP ?

The form will be processed by the office of Registrar of Companies so the approval of this Form is dependant on the ROC.

Certificate

Certificate of satisfaction of charge is generated after the eForm is registered with the authority concerned and sent to the user as an attachment to the email id of the company.
