Director Resignation and related Compliance: E-Form DIR-11, DIR-12 and other Related Legal Provisions

Summary: Section 168 of the Companies Act, 2013 governs the process and compliance requirements for a director’s resignation. A director must submit a written notice of resignation to the company, addressed to the Board of Directors. The resignation takes effect on the date the notice is received by the company or any later date specified by the director in the notice. The Board is obligated to note the resignation at its next meeting and pass a resolution. Subsequently, the company must inform the Registrar of Companies (ROC) by filing E-Form DIR-12 within 30 days of the resignation becoming effective, attaching the resignation letter and the Board resolution. Independently, the resigning director also has the right to notify the ROC within the same 30-day period by filing E-Form DIR-11, including the resignation copy and proof of dispatch, along with the reasons for leaving. The company’s compliance via Form DIR-12 is essential for the director’s cessation date to be officially recorded and their name to be removed from the Ministry of Corporate Affairs (MCA) records.

Section 168 of the Companies Act, 2013 contains provisions related to the resignation of a director from Directorship of the Company.

Section 168(1) provides that a director may resign from his office by giving a notice in writing to the company. The Board of Directors shall take note of such notice upon its receipt.

The resignation of a director shall be effective from the date on which the notice is received by the company or any other date specified by the director in the resignation notice, whichever is later.

Obligations of the Company (Filing of Form DIR-12)

[Pursuant to sections 7(1) (c), 168 & 170 (2) of The Companies Act, 2013 and rule 17 of the Companies (Incorporation) Rules 2014 and 8, 15 & 18 of the Companies (Appointment and Qualification of Directors) Rules, 2014]

1. Notice of Resignation:

A Director may resign from his office by giving a notice in writing to the Company, addressed to the Board of Directors, specifying the date from which such resignation shall take effect.

2. Board to Take Note of the Resignation:

The Board of Directors shall take note of the resignation at its next meeting and record the same by passing a resolution in that regard.

3. Intimation to ROC – E-Form DIR-12:

The Company shall, within 30 (thirty) days from the date on which the resignation becomes effective, file a notice of resignation with the Registrar of Companies in E-Form DIR-12.

4. Attachments in the E-Form DIR-12:

The following documents must be attached while the filing of E-Form DIR-12:

  • Copy of the resignation letter received from the Director;
  • Acknowledgment of the resignation by the Company;
  • CTC of the Board Resolution noting the resignation (optional).

Notice of Resignation by Director (Filing of E-Form DIR-11) 

[Pursuant to the proviso to section 168 (1) of The Companies Act, 2013 and rule 16 of The Companies (Appointment and Qualification of Directors) Rules, 2014]

1. Right of Director to File Notice of Resignation with Registrar:

Director can within 30 days from the effective date of resignation file a copy of his resignation letter sent to the Company along with Proof of dispatch in E-Form DIR-11 to the ROC, along with the reasons for Resignation.

2. Attachments to E-Form DIR-11:

The following documents must be attached while the filing of E-Form DIR-11:

  • Copy of the Resignation Letter sent to the Company;
  • Proof of dispatch of the resignation letter (E-Mail Copy or Post Receipt);
  • Acknowledgment of the resignation by the Company (if confirmation is received from the Company).

3. Acknowledgment and Record:

The resigning Director must send the E- Form DIR-11 along with Challan filed with the ROC to the Company.

Important Points to be Considered:

  • When a Director files Form DIR-11for intimating about his resignation before the Company, the Company is required to file Form DIR-12 within 30 days of the effective date of resignation.
  • Until the Company files Form DIR-12, the cessation date of the Director will be reflected on the MCA Company Master Data.
  • After filing Form DIR-12, the name of the Director will be removed from the MCA Company Master Data.
