The Securities and Exchange Board of India (SEBI) has notified the Alternative Investment Funds (Fifth Amendment) Regulations, 2024, effective upon publication in the Official Gazette. This amendment modifies the AIF Regulations, 2012, particularly in regulations 19B and 20. Key changes include the introduction of pro-rata rights for investors based on their commitment to the scheme in terms of investments and distribution proceeds. Differential rights may be offered to select investors under specified conditions without affecting others’ interests. However, these differential rights do not apply to Large Value Funds for Accredited Investors. Additionally, existing schemes issued before the amendment, which deviate from these provisions, will be addressed as per SEBI’s directions. The amendments aim to enhance transparency and fairness in AIF operations while providing flexibility for specific investor categories. This notification builds on prior amendments to AIF Regulations issued since their inception in 2012.

SECURITIES AND EXCHANGE BOARD OF INDIA (ALTERNATIVE INVESTMENT FUNDS) (FIFTH
AMENDMENT) REGULATIONS, 2024

No. SEBI/LAD-NRO/GN/2024/209 – In exercise of the powers conferred by sub-section (1) of Section 30 read with sub-section (1) of Section 11, clause (ba) and clause (c) of sub-section (2) of Section 11 and sub-section (1) and (1B) of Section 12 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Alternative Investment Funds) Regulations, 2012, namely, –

1. These Regulations may be called the Securities and Exchange Board of India (Alternative Investment Funds) (Fifth Amendment) Regulations, 2024.

2. They shall come into force on the date of their publication in the Official Gazette.

3. In the Securities and Exchange Board of India (Alternative Investment Funds) Regulations, 2012,—

I. In regulation 19B, in sub-regulation (2), after the words “sub-regulation (2) of regulation 16,” and before the words “and the guidelines and circulars”, the words “sub-regulation (21) of regulation 20” shall be inserted.

II. In regulation 20, after sub-regulation 20, the following sub-regulations shall be inserted namely, —

“(21) The investors of a scheme of an Alternative Investment Fund shall have rights, pro-rata to their commitment to the scheme, in each investment of the scheme and in the distribution of proceeds of such investment, except as may be specified by the Board from time to time:

Provided that the rights of the investors of a schemes of Alternative Investment Fund issued prior to the notification of the Securities and Exchange Board of India (Alternative Investment Funds) (Fifth Amendment) Regulations, 2024, which are not pro-rata to their commitment to the scheme and not exempted by the Board, shall be dealt with in the manner specified by the Board.

(22) The rights of investors of a scheme of an Alternative Investment Fund, other than that specified in sub-regulation (21) of this regulation, shall be pari-passu in all aspects:

Provided that differential rights may be offered to select investors of a scheme of an Alternative Investment Fund, in the manner as may be specified by the Board, without affecting the interest of other investors of the scheme:

Provided further that the requirement under sub-regulation (22) of this regulation shall not apply to Large Value Fund for Accredited Investors:

Provided further that any differential right already issued by an Alternative Investment Fund prior to the notification of the Securities and Exchange Board of India (Alternative Investment Funds) (Fifth Amendment) Regulations, 2024, not falling within the first proviso of sub-regulation (22) of this regulation, shall be dealt with in the manner as specified by the Board.”
