The Registrar of Companies (ROC) Kanpur, on October 10, 2025, imposed a significant penalty on HAIDERPUR FERTILIZER PRODUCER COMPANY LIMITED and its five directors for failing to comply with statutory filing requirements. The penalty was adjudicated under Section 454 for the violation of Section 137(3) of the Companies Act, 2013, which governs the timely filing of financial statements. The default was initiated after the Ministry of Corporate Affairs directed an inspection, which revealed that the company had failed to file its financial statements for the year ending March 31, 2023, within the period specified by the Act. This non-compliance makes the company and all its directors liable for penalties as “officers in default.”

The ROC issued a Show Cause Notice to the company and its directors on August 22, 2025, concerning the lapse. Notably, neither the company nor any of the five directors—Vijay Kumar Yadav, Ranjeet Kumar, Kiran Yadav, Preeti Devi, and Siyaram Yadav—submitted a response or requested a hearing, even after the expiration of the 15-day notice period. Consequently, the ROC proceeded to impose the penalty applicable to a Producer Company, which is subject to the reduced penalty provisions of Section 446B of the Act. The company was penalized ₹3,22,000, which includes the base penalty and the continuing penalty up to the date of the order, subject to a maximum of ₹2,00,000. Each of the five directors was penalized ₹25,000 as the base penalty plus the continuing failure penalty, subject to a maximum of ₹50,000 each. The combined total penalty imposed on the company and its directors is ₹4,47,000. The penalized entities must rectify the default and pay the fine through the ‘e-Adjudication’ portal within 90 days, with the directors required to use their personal funds to clear their respective liabilities.
