As soon as the circular popped out for AGM Extension for 2020-21, myself as well as certain people were in dilemma & in constant confusion regarding the extension of AGM after 30.11.2021
So, I tried to throw the light upon it, Please get the same in the below paragraph.
As per the Provisions of Section 96(1) of Companies Act, 2013, the Registrar may, for any special reason, extend the time within which any annual general meeting, other than the first annual general meeting, shall be held, by a period not exceeding 3 (three) months.
Even after getting Extension in Conducting AGM for the period of 2(two) months till 30th, November 2021 by the circular dated 23.09.2021, we can get extension of maximum 1 month from the Registrar of Companies. Reason being as per the provisions of the Act, we can get maximum extension of 3 months (except for first AGM) from the last date till which AGM is supposed to be held. So, even after getting the extension from MCA, one can file the form GNL-1 for getting extension of maximum 1(one) month i.e. till 31st December, 2021. However, before making an application one should make sure that the maximum gap between the 2 AGM should not be more than 15 months.
Note: The application for AGM extension should be made before 30.11.2021.
Due to oversight AOC-4 Date of AGM and Due date of AGM on 31.12.2021 instead of 30.11.2021. now my MGT-7 is also not going. please advise me whether I can revise and file AOC-4?
You cant not revise that form.
You need to upload new form AOC-4.
