(i) Govt. is permitted to remove President or Chairperson or Member(s) any from his office after consultation with Chief Justice of Supreme Court of India in certain circumstances like:
(a) When he is adjudged insolvent

(b) When he is convicted for offence involving moral turpitude in opinion of govt.

(ii) Govt. is not permitted to remove president or chairperson or member(s) under section 417(1) without inquiry is completed by Supreme Court’s Judge as nominated by Chief Justice of Supreme Court of India against reference made by govt. for his misbehavior or incapacity (any).

29. NCLT’s orders under section 420 (1)

39. NCLAT order’s appeal before Supreme Court of India under section 423
- Any aggrieved person against NCLAT’s order is permitted to file appeal before Supreme Court within 60 days from date of receipt by him where question of law is arising due to passing this order
40. NCLAT order’s appeal filling extension by Supreme Court under section 423
(i) Supreme Court is permitted to allow for extension of time for maximum 60 days when satisfied that appellant was prevented by sufficient cause from filing appeal within 60 days.
(ii) Hence total time with extension for filling appeal before Supreme Court is 120 days (60+60).
41. NCLT + NCLAT’s disposing procedures under section 424 (1)
(i) NCLT + NCLAT are bound by procedures laid down in Code of Civil Procedure, 1908 (5 of 1908)
(ii) Guided by principles of natural justice
(iii) Subject to other provisions of CA, 2013 and 100% rules made thereon
(iv) NCLT + NCLAT’s are having power to regulate their own procedures.
42. NCLT + NCLAT’s powers under Code of Civil Procedures under section 424(2)
- NCLT + NCLAT’s are permitted to avail powers as vested in a civil court under Code of Civil Procedure, 1908 (5 of 1908) for discharging their functions while trying a suit like:
(i) (a) For summoning + enforcing attendance of any person + also examining him on oath (all)

(ii) For receiving evidences on affidavits

(i) Deemed judicial proceedings
- 100% proceedings before NCLT or NCLAT (any) are treated judicial proceedings as specified under section 193 + 196 + also 228 (all) of Indian Penal Code 1860 (45 of 1860)
(ii) Deemed Civil Court
- NCLT + NCLAT are treated civil court as specified under section 195 + also chapter XXVI of Code of Criminal Procedure 1973 (2 of 1974) both.
45. NCLT + NCLAT’s powers to punish for contempt under section 425
- NCLT + NCLAT are having same jurisdictions + powers + also authorities for court’s contempt similar to High Court under provision of Contempt of Courts Act, 1971 (70 of 1971) like:
(i) Reference to a High Court is treated (construed) as made to NCLT + also to NCLAT
(ii) Reference to Advocate-General under section 15 of Contempt of Courts Act, 1971 is treated Law Officers of govt.

57. Appeal by aggrieved person before High Court against CLB’s order – sec 434(1ii)
(i) Aggrieved person is permitted to file appeal before High Court against CLB’s order within 60 days from date of communication of decision or order for any question of law arising due to it.
(ii) High Court is permitted to allow extension for another 60 days = 120 days (60+60) when satisfied that appellant was prevented by sufficient cause from filing appeal within original 60 days.
58. Proceedings under CA, 1956 pending before District or High Court sec 434(1iii)
- 100% proceedings pending under CA, 1956 (1 of 1956) + 100% proceedings for arbitrations + compromises + arrangements + reconstructions + winding up of companies before District Court or High Court (any) are to be transferred to NCLT + also to deal from status as existed before these transferred (all).
59. Appellate Authority for Industrial & Financial Reconstruction (IFR) sec 434(1iv)
(i) 100% appeals will become null or void (stand abated) which already preferred before Appellate Authority for IFR or any reference made or inquiry pending before Board of Industrial and Financial Reconstruction (BIFR) or any other proceeding pending before Appellate Authority for IFR or BIFR under Sick Industrial Companies (Special Provisions) Act, 1985 (1 of 1986) immediately before commencement of Chapter XXVII of CA, 2013

(i) Bankruptcy Legislative Reforms Committee (BLRC) created by Ministry of Finance (MoF) on August 22, 2014.
(ii) BLRC was headed by T. K. Viswanathan + also given task to him for drafting a new bankruptcy law (both).
(iii) BLRC submitted its report + also draft bill (both) on November 04, 2015.
(iv) Arun Jaitley (MoF) introduced IBC, 2015 in 16th Lok Sabha on December 23, 2015 after considering comments from public.
(v) Joint Parliamentary Committee (JPC) was setup on Insolvency and Bankruptcy Code, 2015 + also draft bill was referred to it for detailed analysis (both).
(vi) JPC submitted report + also new draft bill (both) on April 28, 2016
(a) Bill was passed by Lok Sabha on May 05, 2016
(b) Bill was passed by Rajya Sabha on May 11, 2016.
(c) Bill was received assent from President Pranab Mukherjee + also notified in India’s official gazette on May 28, 2016 (both).
63. IBC versus NCLT for Insolvency Resolution (IR) plan under IBC, 2016
(i) NCLT passed its 1st order on August 14, 2017 for CIRP of Synergies-Dooray Automotive Ltd.
(ii) Company submitted application for IR plan on January 23, 2017.
(iii) (a) IR plan was submitted to NCLT within 180 days as required under IBC, 2016
(b) NCLT has received IR plan for approval on August 02, 2017 under IBC, 2016
(c) NCLT’s final order was passed + also uploaded on August 14, 2017 (both) on NCLT’s website.
64. IBC’s Insolvency Resolution (IR) Plan under IBC, 2016
(i) Separate IR processing is designed for Companies + Partnership firms + LLPs+ also Individuals (all) under IBC, 2016
(ii) Debtors or creditors are permitted to initiate IR process.
(iii) (a) IR process for companies + partnership firms + LLPs + also individuals (all) are to be completed in 180 days
+ (plus)
(b) IR process for companies + partnership firms + LLPs + individuals (all) permitted for extension for 90 days when majority of creditors are agreed.
(iv) (a) IR process for non partnership firm start ups + small companies + also other companies when assets are less than INR 1 crore (all) to be completed in 90 days
+ (plus)
(b)Also IR process is permitted for extension for 45 days when majority of creditors are agreed.
65. IBC’s Insolvency Resolution and Bankruptcy Code (IBC Amendment) Act, 2019
- IBC (Amendment) Act, 2019 has increased IR process’s time limit from 180 days to 330 days including time already spend in legal process for completing resolution process.
66. IBC’s Bankruptcy Board of India (BBI) as Insolvency Regulator under IBC, 2016
(i) IBC, 2016 has established BBI being insolvency regulator to monitor insolvency proceedings in India + to regulate 100% entities registered under it like Insolvency professional + also etc. (all).
(ii) BBI is required to have maximum 10 members including representatives from Ministry of Finance (MoF) + Ministry of Law (MoL) + also Reserve Bank of India (RBI) all.
67. IBC’s Insolvency Professionals (IP) under IBC, 2016
(i) Insolvency process is to be managed by licensed (registered) professionals.

(ii) Also IPs is permitted to control debtor’s assets during insolvency process.
68. IBC’s Bankruptcy and Insolvency Adjudicator (BIA) under IBC, 2016
- IR process is to be completed by 2 separate tribunals like NCLT + DRT for companies + partnership firms + LLPs + also individuals (all) like:
(i) National Company Law Tribunal (NCLT) is permitted for completing IR process for Companies + also Limited Liability Partnership (LLP) both
(ii) Debt Recovery Tribunal (DRT) is permitted for completing IR process for individuals + also non LLPs (both).
69. IBC’s Time Limit under IBC Amendment Act, 2019
- Corporate Insolvency Resolution Process (CIRP) is to be completed within 330 days including 100% extensions + also litigations periods (both).
70. IBC versus NCLT for CIRP under IBC, 2016
- NCLT being Adjudicating Authority (AA) is empowered to receive application for IR process from certain entities like:
(i) From financial creditors like banks + financial institutions + NBFCs + also etc. (all) under section 7 of IBC, 2016
(ii) From operational creditors like supplier of goods + supplier of services + supplier of electricity + also supplier of etc (all) under section 9 of IBC, 2016
(iii) From corporate debtors like customer of goods + customer of services + also customer of etc under section 10 of IBC, 2016.
(iv) NCLT is not empowered to receive application from corporate debtor who was already in a CIRP at time of filling this application under section 11 of IBC, 2016.
71. NCLT’s role after application received for CIRP under IBC, 2016
- NCLT is required to consider application for CIRP in 14 days + also required to do certain other things (both) after application for CIRP is accepted by it like:
(i) To declare a moratorium
(ii) To make a public announcement about CIRP
(iii) To invite public for submission of claims
(iv) To appoint Interim Resolution Professional (IRP).
72. NCLT’s role for Moratorium’s declaration under IBC, 2016
(i) NCLT is permitted to declare moratorium after accepting application for CIRP till ending when NCLT approves a resolution plan under section 31(1) or it passes a liquidation order under section 33 of IBC, 2016.
(ii) Moratorium is ensuring that CIRP has 100% freedom for settling claims
(iii) Moratorium is stopping institutions for litigations against corporate debtors.
(iv) Moratorium is suspending corporate debtor’s ability to move or sell or transfer asset (any).
(v) Moratorium is permitted to allow IRP to continue supply of goods + services (both) considers necessary to preserve corporate debtor’s value under section 14(2A) of IBC, 2016.
(vi) Moratorium is not allowing company’s Board of Directors (BoDs) + also to promoters (both) not to involve in management
(vii) Moratorium is allowing IRP to seek support from company’s management for day-to-day operations when considered necessary.
- NCLT (AA) is permitted to allow liquidation process when CIRP is failed for company’s revival.
73. Prohibition for submitting resolution plan by certain persons- IBC, 2016
- 2017 amendment is prohibiting certain persons from submitting a resolution plan when default is already made by him like:
(i) By wilful defaulters
(ii) By promoters or company’s management when it outstanding is declared Non Performing Asset (NPA) by banks or financial institutions or NBFCs (any) for a period exceeding 1 year
(iii) By disqualified directors under CA, 2013
- 2017 amendment is also prohibiting defaulters for property’s sale during liquidation process
(D) Insolvency and Bankruptcy Code (IBC) for High Value Company’s Cases
74. Corporate Insolvency Resolution Process (CIRP) for Essar Steel India Ltd.
(i) CIRP for Essar Steel India Ltd. was submitted to NCLT in June 2017 against outstanding liabilities (debts) for INR 490 billion (INR 49000 crore) equivalent to USD 6.1 billion
(ii) NCLT has approved CIRP in Dec 2019
(iii) Supreme court of India has delivered final decision to clear way for Arcelor Mittal India + also Nippon Steel Japan (both) to form a Joint Venture (JV) for completing takeover up to Dec 2019
(iv) NCLT has recovered against outstanding liabilities (debts) for INR 520 billion (INR 52000 crore) equivalent to USD 6.5 billion in 2023
75. CIRP for Bhushan Steel Ltd. (BSL)
(i) CIRP for BSL was submitted to NCLT on July 26, 2017 against outstanding liabilities (debts) for INR 440 billion (INR 44000 crore) equivalent to USD 5.5 billion
(ii) NCLT has approved CIRP in May 2018
(iii) Tata Steel Ltd. has acquired 72.65% equity shares of BSL through its wholly owned subsidiary Bamnipal Steel Ltd (BNPL) as highest bidder.

76. CIRP for Bhushan Power & Steel Ltd. (BPSL)
(i) CIRP for BPSL was submitted to NCLT in June, 2017 against outstanding liabilities (debts) for INR 492 billion (INR 49200 crore) equivalent to USD 6.2 billion
