Requirement of Filing: Any Person who is willing to appoint as Director in a Company/Limited Liability Partnership must have a Director Identification Number. DIN is a pre-requisite for becoming a Director.

DIN includes DPIN (Designated Partnership Identification Number)

Section: Section 153 of the Companies Act, 2013

Rules: Companies (Appointment and Qualification of Directors) Rules, 2014 & Amendment Rules, 2018

Form: E-form DIR-3

Simplified Procedure for DIN Application:

  • First Check whether the applicant is Indian National or Foreign National i.e. Resident or Non-Resident.

In Case of Indian National, Income Tax PAN is mandatory & in case of Foreign National, Passport Number is mandatory.

  • Latest Passport Size Photograph in JPEG Format is required
  • Applicant’s Full Name Corresponding to his Income Tax PAN or Passport is to be entered.
  • Occupation:- Whether Self Employed, Professional or Serviceman or any other needs to be checked
  • Education Qualification:- Whether Graduate, Post Graduate, Professional, Others needs to be confirmed
  • Permanent Residential Address & Present Residential Address needs to be Verified with the supporting documents
  • Phone No., Mobile No. & E-mail Id are mandatory required
  • Proof of Identity and Proof of Residence of applicant varies from its Nationality
  • In case applicant is Indian, then the Id Proof like Income tax PAN, etc. should be self attested
  • In case applicant is Foreign National,
  • In case of Identity Proof and Residence Proof are in language other than English, then said Proofs should be translated in English from Professional translator carrying his details (Name, Signature, Address, Seal), by the Notary of Home Country is also acceptable.
  • Residence Proof : Any Documents Other than Passport like Certificate of Residence or in case of any Electricity/Telephone Bill should not be older than 1 year – Need to be duly apostilled i.e. Should be attested by the Consulate of the Indian Embassy, in the country of Applicant or can be Notarized also.

Mandatory Attachment or Not: Though in the Form DIR-3, Mandatory Attachments are ID Proof & Residential Proof but pursuant to the Companies (Appointment and Qualification of Directors) Amendment Rules, 2018 Board resolution proposing his appointment as director in an existing company should be attached in Optional Attachment.

Certification of Form DIR-3

It Shall be certified by the company secretary in full time employment of the company or by the Managing Director or Director or CEO or CFO of the company in which the applicant is intended to be appointed as director in an existing company substituted by Companies (Appointment and Qualification of Directors) Amendment Rules, 2018

Draft of Resolution for proposing appointment of Director in an existing Company is provided below:-

PROPOSING APPOINTMENT OF (Name of Director) AS DIRECTOR IN AN EXISTING COMPANY

“RESOLVED THAT pursuant to the provisions of Section 152, 153 of the Companies Act, 2013 read with the Companies (Appointment and Qualification of Directors) Amendment Rules, 2018, and other applicable provisions and rules, if any, of the Companies Act, 2013, as amended from time to time or any other law for the time being in force (including any statutory modification or amendment thereto or re-enactment thereof for the time being in force), the Consent of the Board be and is hereby accorded to propose the appointment of (Name of Director) as Director in (Name of Company) subject to the allotment of DIN (Director Identification Number).

“RESOLVED FURTHER THAT for the purpose of giving effect to this resolution, any of the Directors or Company Secretary, if any, of the Company be and is/are hereby severally authorised on behalf of the Company, to do all such acts, deeds, matters and things as may be deemed necessary, proper or expedient and to sign and execute all necessary documents, applications and returns along with the filing of E-form DIR-3 with the Registrar of Companies, (State where situated).

    in the Board meeting, the proposed director can be appointed as only additional director right ?.
    But in the resolution it is mentioned as Director, is it correct ?
