Subject: Revision of Fees payable by Foreign Companies under Section 601 of the Companies Act, 1956 and Additional Fees payable by companies in respect of their applications relating to condonation of delay u/s 637B of the Companies Act, 1956

Sir,

It has been decided by the Department to revise the filing fees payable by Foreign Companies under Section 601 of the Companies Act, 1956 read with Rule 20 of the Companies (Central Government) General Rules and Forms, 1956 from existing Rs. 1,000 to Rs. 5,000 per document. The Notification [No: GSR 330(E)] dated 7.5.2002 issued to this effect is enclosed. The notification and revised rates are effective from 15.5.2002.

Further in order to ease the condonation of delay process in filing the documents by foreign companies under the Companies Act, 1956, the Department in consultation with the Department of Legal Affairs has decided to condone the delay in filing statutory documents by imposing cost on a standarised basis. The foreign companies may, henceforth, while filing the documents belatedly  pay the cost as prescribed herein under and Registrar of Companies (NCT of Delhi and Haryana) may accept such ‘cost’ alongwith the filing fee as per Table below and permit the filing of the document by foreign company.   The table of fee/cost will be effective from 15.5.2002.

Four times of normal filing fee
(iv)More than six months and upto one year Six times of normal filing fee
(v) More than one year and upto two years Eight times of normal filing fee
(vi) More than two years Nine times of normal filing fee

ROC, Delhi is requested to take necessary action accordingly to ensure that revised rates of fee payable and additional fees are collected from foreign companies with effect from 15.5.2002.
