1. Call a Board Meeting (either by giving a seven days’ notice/or at a shorter notice)
♦ to accord the consent of Board of Directors and
♦ to decide on the proposed new name
2. Reserving the proposed name
♦ Login on the website of MCA at V2 portal
♦ Under MCA services, go to RUN (Reserve Unique Name)
♦ Choose New Request
♦ Add two propose names in the tabs provided
♦ In the comments section, mention the reason for name change
♦ Attach the certified copy of the Board resolution in the option provided
♦ File an application for reservation of proposed name via RUN
♦ Our reason was: “The Company is into the business of builder consultants and advisors, therefore, the Board of Directors have decided to change the name to make it evident and convenient for general public.”
♦ The fee for reserving the name shall be Rs. 1000
♦ The name shall be valid for a period of 60 days (in case on name change only)
♦ You will receive a name approval letter on your email, once the name is approved.
♦ We received the approval within 3-4 working days on our registered e-mail ID
3. Call one more Board Meeting (either by giving a seven days’ notice/or at a shorter notice)
- Call next Board meeting once the name is reserved
- Pass a resolution to change the name of the Company
- Pass a resolution to call an Extra Ordinary General Meeting for the same
4. Call Extra Ordinary General Meeting (either by giving 21 clear days’ notice/ or at shorter notice)
- Call the Extra ordinary General Meeting and avail the consent of the members via special resolution
- Alter the Memorandum and Articles of Association to give effect to the name change
5. File e-form MGT 14 within 30 days of passing Special Resolution
6. File e-Form INC-24 for intimation of change of Name within 60 days of application in RUN
7. Form INC 24 might take a while to approve. One might need to visit the concerned ROC as well
In case resubmission is received, refile the form INC 24 with required documents.
8. On approval, fresh Certificate of Incorporation after change of name shall be received on the registered email ID of the Company.
9. We were charged Rs. 600 by MCA for filing MGT 14 and Rs. 10000 for filing INC 24.
10. SRN of approved MGT 14 is to be mentioned in the form INC 24. So proceed to file the e-Form INC 24 only when the MGT 14 is approved.
