SEBI Circular No. SEBI/HO/CFD/CMD2/CIR/P/2022/62 Dated: 13.05.2022 on Relaxation from compliance with certain provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Applicability: All Listed entities | Effective Date: May 13, 2022

Summary of the Circular:

MCA vide Circular dated May 05, 2022 has extended the relaxations from dispatching of physical copies of financial statements (Annual Report of FY2021-22) for the year 2022 (i.e. till December 31, 2022).

Considering the above, it has been decided by the SEBI to provide below relaxation(s) upto December 31, 2022:

1. Regulation 36 (1) (b) Requires sending hard copy of annual report containing salient features of all the documents prescribed in Section 136 of the Companies Act, 2013 to the shareholders who have not registered their email addresses Not Required upto December 31, 2022.

Further, the notice of Annual General Meeting published by advertisement in terms of Regulation 47 of LODR Regulations, shall contain a link to the annual report, so as to enable shareholders to have access to the full annual report.

2. Regulation 36 (1) (c) Listed Entities are required to send hard copy of full annual report to those shareholders who request for the same As per the SEBI Circular, No Relaxation is given for this requirement.

Therefore, Listed Entities are still required to send hard copy of full annual report to those shareholders who request for the same.

No Relaxation
3. Regulation 44 (4) Requirement of sending proxy forms Not Required upto December 31, 2022, in case of general meetings held through electronic mode only

Therefore, Listed Entities are still required to send proxy forms in case of general meetings held in physical mode.
