The introduction of the Companies Act of 2013 brought about the concept of the One Person Company (OPC). Before this act, a single person was unable to form a company. If someone wanted to start a business, they could only do so as a sole proprietorship because company formation required a minimum of two directors and two members.
Under the Companies Act of 2013, an individual can now form a company with just one member and one director. The director and member can be the same person. Consequently, a one-person company allows a single individual, whether a resident or an NRI, to incorporate a business that combines the characteristics of a corporation with the benefits of a sole proprietorship.
According to section 2(62) of The Companies Act, 2013, an “One Person Company” is defined as a company that has only one person as a member.
During the process of registering as a One Person Company, some individuals have encountered issues when applying for GST registration. Upon analysis, it was discovered that the option to select One Person Company is not available in the forms notified by the CGST/SGST Acts and, therefore, not accessible on the GSTN portal as well.
As a workaround, it is advised that applicants, in the “Part B” of the GST Registration Form “REG-01,” choose the “Others” option under the “Constitution of Business” in the “Business Details” tab. If the taxpayer wishes to register for GST as a “One Person Company,” they should mention “One Person Company” in the provided text field. Step 1: Go to the GST Portal.
Step 2: Generate a Temporary Reference Number (TRN) by completing OTP validation.
Step 3: Verify OTP and generate TRN.
Step 4: Log in with the generated TRN.
