The Ministry of Corporate Affairs (MCA) of India notified revised rules for Incorporation of Limited Liability Partnership (LLPs) effective w.e.f 02nd October, 2018.
The LLP (Second Amendment) Rules, 2018 introduced the revised procedure for incorporation of the LLPs and related e-forms.
New Process of Incorporation of LLPs:
1. Introduction of a Web Service titled ‘RUN-LLP (Reserve Unique Name – Limited Liability Partnership)’ replacing the erstwhile Form 1 (Application for reservation or change of name).
Note: RUN-LLP is an optional service except in case of change of name of LLP.
2. Introduction of a new integrated Form FiLLiP (Form for incorporation of Limited Liability Partnership) replacing the erstwhile Form 2 (Incorporation document and subscriber’s statement) combining therein 3 services i.e.,
i) Name reservation.
ii) Allotment of Designated Partner Identification Number (DPIN/DIN).
iii) Incorporation of the LLP.
Note: The processing of the e-forms viz. RUN-LLP and FiLLiP is now centralised by the Registrar in the hands of Central Registration Centre(CRC) for and on behalf of the jurisdictional Registrar.
MCA Fees Structure:
1. For Web Service RUN-LLP: INR 200/-.
2. For New Integrated E-form FiLLiP fees varies with contribution amount.
