 – Unlisted company can held its AGM at any place in india if consent is taken in writing or in electronic mode from all of its members in advance Wholly owned subsidiary of the company incorporated outside india: Any place – no restriction;

Indian company: At any time and any day within India

 – For Unlisted companies other than above and listed companies can held its AGM at their registered office or at some other place within the city, town or village in which registered office of the company is situated
5 When [Sec 96(2)] It can be held at any day which is not a national holiday/ Sunday is also included No Restriction:
Any day and any time.
It can be held between 9 am to 6 am
6 Who can request for EGM
[Sec 100]
 – Company having Share capital: As on date of request any member who is holding not less then 1/10th of paidup capital carrying voting rights

– Company not having Share capital: As on date of request any member who is holding not less then 1/10th of voting power of all the member

7 Quorum
[Sec. 103]
For Private Limited Company minimum 2 Members For Public limited company as follows:

1000 or less members : 5
Between 1001 to 5000       : 15 More than 5000 : 30
