The Registrar of Companies (ROC), Patna issued an adjudication order dated 9 March 2026 under Section 454 of the Companies Act, 2013 for violation of Section 155 relating to possession of multiple Director Identification Numbers (DINs). The proceedings arose from suo motu applications filed by two directors of a private company who disclosed that they had been erroneously allotted two DINs each. One director held DINs 00887278 and 09357018, while the other held DINs 06625331 and 09357017. While filing DIR-3 KYC forms, errors indicated that their PAN numbers were already linked to earlier DINs. Both directors had attempted to surrender the additional DINs by filing Form DIR-5, though the forms were returned for resubmission. After issuing an e-adjudication hearing notice and hearing submissions through an authorised representative, the adjudicating authority held that possessing multiple DINs violates Section 155. Accordingly, a penalty of ₹50,000 was imposed on each director. The directors were directed to rectify the default and pay the penalty within 90 days.

ORDER FOR ADJUDICATION OF PENALTY UNDER SECTION 454 OF THE COMPANIES ACT, 2013 (‘THE ACT’) FOR VIOLATION OF SECTION 159 OF THE COMPANIES ACT, 2013.

A. Appointment of Adjudicating Officer:

Ministry of Corporate Affairs vide its Gazette notification number S.O. 831(E) dated 24/03/2015 appointed undersigned as Adjudicating Officer in exercise of the powers conferred by section 454 of the Companies Act, 2013 [herein after known as Act] read with Companies (Adjudication of Penalties) Rules, 2014 for adjudging penalties under the provisions of this Act.

B. Company details:

In the matter relating to RANISATI AGRO PRODUCTS PRIVATE LIMITED [herein after known as Company] bearing CIN U15490BR2021PTC054594, is a company registered with this office under the Provisions of the Companies Act, 2013/1956 having its registered office situated at WARD NO-2, RADHA NAGAR, NAKCHHED TOLA, NA MOTIHARI EAST CHAMPARAN BIHAR INDIA 845401

C. Provisions of the Act:

If any individual or director of a company makes any default in complying with any of the provisions of section 152, section 155 and section 156, such individual or director of the company shall be liable to a penalty which may extend to fifty thousand rupees and where the default is a continuing one, with a further penalty which may extend to five hundred rupees for each day after the first during which such default continues.

D. Facts about the case:

1. Default committed by the officers in default/noticee – I. Director-Shri Bhola Nath Sikaria has submitted a suo-moto application for adjudicating the violation of section 159 of the Companies Act, 2013. He has inter alia mentioned that “he has been allotted two DINs erroneously, i.e., 00887278 and 09357018 approved on 29.11.2006 and 12.10.2021, respectively. While filing of form DIR KYC web of DIN-09357018, an error appears that your PAN has been linked to this DIN-00887278. DIR-5 was filed for surrendering his new DIN. However, DIR-5 was sent for re-submission. Director has prayed the DIN: 00887278, be cancelled and the offence u/s. 159 be compromised as he has made application for cancellation of another DIN: 00887278 in form DIR-5 and he is ready and willing to pay such nominal amount by way of compounding charges as may be determined by the Hon’ble Authority.”

II. Director-Shri Narayan Sikaria has submitted a suo-moto application for adjudicating the violation of section 159 of the Companies Act, 2013. He has inter alia mentioned that “he has been allotted two DINs erroneously, i.e., 06625331 and 09357017 approved on 04.07.2013 and 12.10.2021, respectively. While filing of form DIR KYC web of DIN-09357017, an error appears that your PAN has been linked to this DIN-06625331. DIR-5 was filed for surrendering his new DIN. However, DIR-5 was sent for re-submission. Director has prayed the DIN: 06625331, be cancelled and the offence u/s. 159 be compromised as he has made application for cancellation of another DIN: 06625331 in form DIR-5 and he is ready and willing to pay such nominal amount by way of compounding charges as may be determined by the Hon’ble Authority.”

2. On basis of the suo-moto Adjudication Application, this Adjudicating Authority had issued e-Adjudication Hearing Notice to the directors/officers in default on 19.01.2026 and the hearing was scheduled on 03.02.2026 at 11.00 am. Pursuant to hearing notice, CA Vivek Kumar, practising Chartered Accountant , authorised representative for the directors/officers in default has appeared before the Adjudicating Authority and made submissions that, ‘the said violation may be adjudicated as per section 159 of the Companies Act, 2013?

As per Section 155 of the Companies Act, 2013: No individual, who has already been allotted a Director Identification Number under section 154, shall apply for, obtain or possess another Director Identification Number.

E. Order:

1. As the directors, namely, Shri Bhola Nath Sikaria and Shri Narayan Sikaria are having two DINs, an adjudicating order for the non-compliance of section 155 of the Companies Act, 2013 is passed.

2. The details of penalty imposed on the company, officers in default and others are shown in the table below:

3. The notified officers in default/noticee shall rectify the default mentioned above and pay the penalty, so applicable within 90 days of receipt of the order.

4. The notified officers in default/noticee shall pay the penalty amount via ‘e-Adjudication’ facility which can be accessed through the respective login IDs on the website of Ministry of Corporate Affairs and upload the copy of paid challan / SRN of e-filing (if applicable) on the ‘e-Adjudication’ portal itself. It is also directed that the penalty so imposed upon the officers in default shall be paid from their personal sources/income.

5. Appeal against this order may be filed in writing with the Regional Director, RD Kolkata within a period of sixty days from the date of receipt of this order, in Form ADJ setting for the grounds of appeal and shall be accompanied by a certified copy of this order [Section 454 (5) & 454 (6) of the Act, read with Companies (Adjudication of Penalties) Rules, 2014].

6. For penal consequences of non-payment of penalty within the prescribed time limit, please refer Section 454(8) of the Companies Act, 2013.
