Article Explains disclosure to be made by a Listed Company & list out Disclosure Quarterly Disclosures, Half Yearly Disclosure, Annual Disclosures and Event Based Disclosures. Article explains the disclosure with relevant Regulations number, Description of the Applicable Regulation and timeline within which disclosures to be made under Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended from time to time.

QUARTERLY DISCLOSURES

S.No. Regulation Description Timeline
1.   Regulation 13 (3) – Statement of Investor complaints. Every listed entity shall file a statement giving the number of investor complaints pending at the beginning of the quarter, those received during the quarter, disposed of during the quarter and those remaining unresolved at the end of the quarter. Within 21 days from the end of the quarter.
2.     Regulation 27 (2) – Corporate Governance. Every listed entity* shall submit compliance report on corporate governance

*Listed entities specified under Regulation 15 are exempted from this disclosure.

As per the latest SEBI(LODR) (Second Amendment) Regulations, 2021. Within 21 days from the end of the quarter.

Before it was 15 days from the end of the quarter

3. Regulation 31 – Shareholding Pattern. Every listed entity shall file a statement showing holding of securities and shareholding pattern separately for each class of securities, in the format specified by the Board Within 21 days from the end of the quarter.
4.    Regulation 33 – Financial Results. Every listed entity shall submit standalone financial results along with Limited Review Report or Audit Report as applicable to the stock exchange. Within 45 days of end of each quarter, (other than last quarter)

For last quarter- within 60 days from the end of the financial year

5.   Reconciliation of Share Capital Audit.

(SEBI- DP Reg.55A)

Every Listed entity shall submit Reconciliation of Share Capital Audit Report to the stock exchanges audited by a qualified chartered accountant or a practicing company secretary. Within 30 days from the end of the Quarter
6.   Regulation 47-Avertisement in Newspaper Every Listed entity shall submit the proof of newspaper publication of financial results to the stock exchange. Within 48 hours of the Board Meeting in which financial results were approved.

As per the latest SEBI(LODR) (Second Amendment) Regulations, 2021 the publication of notice of such Board Meeting in the newspaper has been removed

YEARLY DISCLOSURES
7.    Regulation 7 (3) – Compliance Certificate Every Listed entity shall submit a compliance certificate to the exchange, duly signed by the compliance officer of the listed entity and the authorized representative of the share transfer agent, As per the latest SEBI(LODR) (Second Amendment) Regulations, 2021. Within 30 days from the end of the financial year.

Before it was 1 month of end of each half of the financial year.

8.  Regulation 40 (9) – Certificate from Practicing Company Secretary. Every Listed entity shall submit a certificate certifying that all certificates have been issued within thirty days of the date of lodgment for transfer, sub-division, consolidation, renewal, exchange or endorsement of calls/allotment monies. As per the latest SEBI(LODR) (Second Amendment) Regulations, 2021. Within 30 days from the end of the financial year. 

Before it was 1 month of end of each half of the financial year. 

9.  Regulation 24A (2) Every listed entity shall submit a secretarial compliance report in such form as specified. As per the latest SEBI(LODR) (Second Amendment) Regulations, 2021. Within 60 days from end of each financial year.
10. Regulation 34 Every listed entity shall submit a copy of the annual report sent to the shareholders along with the notice of the annual general meeting Not later than the day of commencement of dispatch to its shareholders

HALF YEARLY DISCLOSURES

11. Regulation 23(9) Related Party Disclosures Every Listed entity* shall submit disclosures of related party transactions on a consolidated basis, in the format specified in the relevant accounting standards

*Listed entities specified under Regulation 15 are exempted from this disclosure.

Within 30 days from the date of publication of its standalone and consolidated financial results for the half year

EVENT BASED DISCLOSURES

12. Regulation 7 – Appointment of New Share Transfer Agent. In case of any change or appointment of a new share transfer agent the listed entity shall enter into a tripartite agreement and inform about such appointment to stock exchange. Within 7 days of entering into the agreement
13.    Regulation 44 -Voting Result Every Listed entity shall submit details regarding the voting results of General Meeting in the format specified by the Board. As per the latest SEBI(LODR) (Second Amendment) Regulations, 2021. Within 2 working days from the conclusion of the General Meeting. 

Before it was 48 hours from the conclusion of the General Meeting.

14.   Regulation 29 – Notice for Board Meeting to consider the prescribed matters. Every Listed entity shall give advance notice to the stock exchange for Board Meeting that will be conducted for approval of financials and other matters as stated in regulation 29 1 (b) to (f) At least 5 days before the meeting for approval of financials and

2 Working days in advance (Excluding the date of the intimation and date of the meeting) for other matters as stated in regulation 29 1 (b) to (f)

15. Regulation 39- Issuance of Certificates Every Listed entity shall submit information regarding loss of share certificates and issue of the duplicate certificates Within 2 days from getting information
16. Regulation 42-Record Date Every Listed entity shall intimate the record date fixed for the purpose of corporate benefits like mergers, de-mergers, split , bonus, dividend, rights etc. Advance notice of at least 7 working days (Excluding the date of the intimation and record date/book closure start date) in case all matters except right issue.

For right issue- Advance notice of at least 3 working days (Excluding the date of the intimation and record date/book closure start date)

17. Regulation 30 Schedule III Part A (7A)-Resignation of Auditor Every Listed entity shall give detailed reasons for resignation of auditor to the stock exchange. Within 24 hours of receipt of such reasons from the auditor.
18.   Regulation 30 Part A of Schedule III (7B)-Resignation of Independent Director Every Listed entity shall give detailed reasons for resignation of ID to the stock exchange. Within 7 days from the date of resignation
19.    Regulation 30-Material Events All the events specified in Part A of Schedule III shall be disclosed to the stock exchange Within 24 hours from the occurrence of event or information
