Limited Liability Partnerships (LLPs) need to fulfill various compliance requirements by filing different forms with the Registrar. These forms cover important aspects such as LLP agreements, changes in LLP details, annual returns, and more. It is crucial for LLPs to file these forms within the specified timelines to ensure compliance with the LLP rules and regulations.

Form-3

Pursuant to rule 21(1) of Limited Liability Partnership Rules, 2009.
Information with regard to Limited Liability Partnership Agreement and changes, if any, made therein.

File form within 30 days from the date of Incorporation or such subsequent changes.

Form-4 Pursuant to rule 8, 10(3), 22(2) and 22(3) of Limited Liability Partnership Rules.
Notice of appointment, cessation, change in name/ address/designation of a designated partner or partner and consent to become a partner/designated partner.

File form within 30 days from such subsequent changes.

Form-5 Pursuant to rule 20(2) of Limited Liability Partnership Rules, 2009.
Notice of change of name of LLP.

File form within 30 days from the date such changes.

Form-8 Pursuant to rule 24 of Limited Liability Partnership Rules, 2009.
Statement of Account & Solvency and Charge filing.

Every limited liability partnership shall file the Statement of Account and Solvency with the Registrar, within a period of 30 days from the end of six months of the financial year to which the Statement of Account and Solvency relates.

Form-11 Pursuant to rule 25(1) of Limited Liability Partnership Rules, 2009.
Annual Return of Limited Liability Partnership (LLP).

Every LLP shall file an annual return with the Registrar within 60 days of closure of its financial year.

NOTE:- Such LLP whose turnover does not exceed, in any financial year, forty lakh rupees, or whose contribution does not exceed twenty-five lakh rupees shall not be required to get its accounts audited.
Form-12 Pursuant to rule 16(3) of Limited Liability Partnership Rules, 2009.
Form for intimating other address for service of documents.

LLP may declare any other address other than its R/o for the purpose of service of any document or notice as its postal address, file form within 30 days from decided such address.

Form-15 Pursuant to rule 17 of Limited Liability Partnership Rules, 2009.
Notice for change of place of registered office.

LLP may change its registered office from one place to another; consent of all partners shall be required. However register office of LLP shifting from one state to another, and LLP having secured creditor shall also obtain consent of such secured creditor.

Notice of change of place of registered office shall be file with the registrar within 30 days from change of such address.

Form-22 Pursuant to rule 35(11), 35(17) and 41(4) of Limited Liability Partnership Rules, 2009.
Notice of intimation of order of Court/ Tribunal/ Central Government to the Registrar.

Compromise, Arrangement or Reconstruction of Limited Liability Partnerships

Form-23 Pursuant to rule 19(1) of Limited Liability Partnership Rules, 2009.
Application for direction to Limited Liability Partnership (LLP) to change its name.

A LLP or a company or a proprietor of a registered trade mark under the Trade Marks Act, 1999 (47 of 1999) which already has a name or trade mark which is similar to or which too nearly resembles the name or new name of a LLP incorporated subsequently, may apply to the Regional Director in Form 23 to give a direction to that LLP incorporated subsequently to change its name or new name, as the case may be.

Form-24 Pursuant to rule 37 of Limited Liability Partnership Rules, 2009 and Section 75 of The Limited Liability Partnership Act 2008.
Application to the Registrar for striking off name of LLP.
Form-25 Pursuant to rule 18(3) of Limited Liability Partnership Rules, 2009.
Application for reservation/ renewal of name by a Foreign Limited

Liability Partnership (FLLP)/ Foreign Company

Form-27 Pursuant to rule 34(1) of Limited Liability Partnership Rules, 2009.
Form for registration of particulars by Foreign Limited Liability

Partnership (FLLP)

A foreign LLP shall, within 30 days of establishing a place of business in

India, file with the Registrar in Form 27.

Form-28 Pursuant to rule 34(3) and 34(8) of Limited Liability Partnership Rules, 2009.
Alteration in the documents filed for registration by Foreign LLP

If any foreign LLP ceases to have a place of business in India, it shall give notice to the Registrar in Form- 28 within 30 days of its intention to close the place of business.

Form-31 Pursuant to rule 41(1) of Limited Liability Partnership Rules, 2009.
Application for compounding of an offence under the Act compounding of Offences.
Form-32 Pursuant to rule 36(6) of Limited Liability Partnership Rules, 2009.
Form for filing addendum for rectification of defects or incompleteness.
