The shift to the MCA V3 portal for annual ROC filings has introduced new complexities. To help you navigate the system smoothly, here are the most common real-world errors encountered while filing Form AOC-4 (Financial Statements) and Form MGT-7A/MGT-7 (Annual Return), along with tested solutions.

Part I: Form Sequence and System Errors

Q1: Which form must I file first, AOC-4 or MGT-7/7A?

A: You must always file Form AOC-4 first (Financial Statements).

The MCA V3 system is designed for sequential filing. The financial data filed in AOC-4 (like Paid-up Capital, Turnover, etc.) is automatically pulled and verified by the system when you file MGT-7/7A. Filing MGT-7/7A before AOC-4 will cause a system rejection.

Q2: I’m getting a ‘Data Mismatch’ error even though the data is correct. What’s wrong?

A: This often happens due to a mismatch between the pre-filled data and your current form entry, or an issue with previous year figures.

  • Solution: If you are changing the previous year’s figures (e.g., due to reclassification or correction), ensure you provide a detailed justification in the designated notes/explanation field within the AOC-4 form. The V3 system flags any alteration to pre-filled data without justification.
  • Another possibility: Check if your Company Master Data is correct. If your Paid-up Capital or Director details are outdated, it may cause a mismatch.

Q3: My Digital Signature Certificate (DSC) keeps failing validation. How can I fix this?

A: DSC issues are the most frequent technical hurdle.

  • Solution 1 (Validity): Ensure your DSC is a valid Class 3 DSC and is not expired.
  • Solution 2 (Mapping): Verify that the DSC is correctly registered and mapped to the user ID (Director or Professional) who is supposed to be signing the form on the V3 portal. A mismatched PAN/DIN linked to the DSC will fail.

A: The MGT-7A Excel validation sheet requires complete and accurate data, especially for two key fields:

  • Solution 1: PAN: The Permanent Account Number (PAN) of every shareholder is generally mandatory for identification and verification.
  • Solution 2: Folio Number: The Folio Number associated with the shareholding must be correctly provided, particularly for physical shareholders. Missing or inaccurate PAN/Folio can trigger validation errors.
  • Crucial Note: Ensure you use the pre-defined Excel template downloaded from the MCA portal, as external sheets will not be accepted.
