Revised Formats for Disclosure of Financial Results of Listed Companies

It has been decided to carry out consequential amendments to Clause 41 of the Listing Agreement regarding interim disclosure of financial results by listed entities to the stock exchanges, which has been drawn from the format under Schedule VI of the Companies Act, 1956. Accordingly, the format for the said disclosure has been given in Annexure.

Format for Excise & Service Tax Return & changes in Return Periodicity

The attached document is a draft circular containing details of proposed amendments to harmonize the ER-1, ER-3 and ST-3 returns so that a single common return can be prescribed instead of these three returns as measure of simplification of the Business Processes in respect of filing the Return by assesses. The draft is being placed in public domain for widest possible circulation and an extensive debate from all stakeholders in trade and industry as also from all the field formations of the department. Processing of investor complaints against listed companies in SEBI Complaints Redress System (SCORES)

SEBI has commenced processing of investor complaints in a centralized web based complaints redress system ‘SCORES’. Pursuant to SEBI Circular no. CIR/OIAE/2/201 1 dated June 03, 2011 on the captioned subject, all listed companies are required to obtain authentication on SCORES.

Uploading of the existing clients’ KYC details in the KYC Registration Agency (KRA) system by the intermediaries

SEBI simplified the account opening process for investors and made it uniform across intermediaries in the securities markets vide aforementioned circulars. Further, to avoid duplication of KYC process with every intermediary, KRA system was developed for centralization of the KYC records in the securities markets. The system was made applicable for new clients who opened accounts with the intermediaries from January 1, 2012.

SEBI Guidelines for Business Continuity Plan (BCP) and Disaster Recovery (DR)

Export-Import Bank of India (Exim Bank) has concluded an Agreement dated July 21, 2011 with the Ecowas Bank for Investment and Development (EBID), making available to the latter, a Line of Credit (LOC) of USD 150 million (USD one hundred and fifty million) for financing eligible goods, services and equipments including project exports and consultancy services, to be exported from India to the 15 member countries of EBID in West African region viz. Based on the assessment of the utilization of the limits to FIIs for investments in Government Debt Old, corporate Debt Old and Government Debt Long Term category, it has been decided to allocate the unutilized limits. The bidding for this limit shall be done on the NSE from 15:30 hrs to 17:30 hrs, on April 23, 2012.

SEBI Timeline For Submission of Annual Audited Financial Result of FY 2011-12

Pursuant to representations received from the listed entities and the auditing fraternity regarding difficulties, faced in submission of annual financial results along with Q4 results, more specifically owing to the first time adoption of the revised Schedule VI format recently notified by the MCA for FY 2011-12 results, it has been decided to, as a one-time measure, for the purpose of submission of FY 2011-12 financial results, restore, the earlier provision for the time being and review the situation at a later stage.

Committee to review Scheme for Electronic Refund of Service Tax to Exporters

A Committee has been constituted with Director General of Service Tax Smt. Sanghamitra Panda as Chairperson to review the scheme for electronic refund of service tax paid on taxable services used for export of goods. Other members of the Committee are Commissioner of Service Tax, Mumbai-1, Shri Sushil Solanki and Director, TRU Shri J. M. Kennedy.
