Section 2(52) of the Companies Act, 2013 ‘Listed Company’ means a Company which has any of its securities listed on any recognized stock exchange.
SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 define “Listed Entity” as entity which has listed, on a recognized stock exchange(s), the designated securities issued by it or designated securities issued under schemes managed by it, in accordance with the listing agreement entered into between the entity and the recognized stock exchange(s).

SEBI Listing (Obligations and Disclosure Requirements) Regulations 2015
As per the Regulation 46 of SEBI Listing (Obligations and Disclosure Requirements) Regulations 2015 the listed entity shall maintain functional website and such entity shall disseminate the following information on its website:

2. Terms and condition of appointment of Independent director
3. Composition of various committee of board of director
4. Code of conduct of board of director and senior management personnel
5. Details of establishment of vigil mechanism/ whistle blower policy
6. Criteria of making payment to non-executive directors, if the same has not been disclosed in annual report.
7. Policy on dealing on related party transaction
8. Policy on determining “material subsidiaries”
9. The email address for grievance redressal and other relevant details
10. Contact information of the designated officials of the listed entity who are responsible for assisting and handling investor grievances
11. Shareholding pattern
12. Details of agreements entered into with the media companies and/or their associates, etc;
13. New name and the old name of the listed entity for a continuous period of one year, from the date of the last name change;
14. Schedule of analyst or institutional investor meet and presentations made by the listed entity to analysts or institutional investors simultaneously with submission to stock exchange
15. Details of familiarization programmes imparted to independent directors including the following details: –

Regulation 8 – Code of fair disclosure and conduct:
The board of directors of every company, whose securities are listed on a stock exchange, shall formulate and publish on its official website, a code of practices and procedures for fair disclosure of unpublished price sensitive information that it would follow in order to adhere to each of the principles set out in Schedule A to these regulations, without diluting the provisions of these regulations in any manner.

Every company that conducts its business online on a website, should disclose certain information such as the name of the company, registered office address, their Corporate Identity Number (CIN), contact number, fax number if any, contact details on the homepage of the employee that handles all queries or grievances by customers as well as email id of the company.
1. Financial Statements & Consolidated Financial Statements (Section 136)
2. Every listed company should place its financial statements along with consolidated financial statements, if any, including other required documents that should be published on companies’ websites.
- Every listed company having subsidiaries should separately upload audited accounts reports of its subsidiary or subsidiaries on its website.
1. Any listed company having a foreign subsidiary incorporated outside India;
2. Disclosure of consolidated financial statement of such foreign subsidiary should be published on the listed company’s website;
According to any law of the country, the foreign subsidiary is not required to audit its financial statement of its incorporation but the holding company has to upload the unaudited financial statement of a foreign subsidiary, the Indian listed company should publish such unaudited financial statement in any language other than English along with a translated copy in English on its website.
