On October 9, 2024, the Ministry of Corporate Affairs issued a notification regarding the Companies (Adjudication of Penalties) Second Amendment Rules, 2024, under the authority of the Companies Act, 2013. This amendment introduces a crucial change to the existing Companies (Adjudication of Penalties) Rules, 2014, specifically in sub-rule (1) of rule 3A. A new proviso stipulates that any proceedings already pending before an Adjudicating Officer or Regional Director at the time of this amendment will continue according to the rules that were in place prior to the amendment. The updated rules aim to ensure consistency in handling ongoing cases despite the regulatory changes. The amendment is effective immediately upon publication in the official gazette. Prior to this amendment, the Companies (Adjudication of Penalties) Rules were last revised in August 2024 and February 2019.
