Introduction:

The Securities and Exchange Board of India (SEBI) has released Circular No. SEBI/HO/DDHS-PoD-2/P/CIR/2023/154 on September 11, 2023, introducing significant changes in the Real Estate Investment Trusts (REITs) regulations. This circular grants board nomination rights to unitholders holding a minimum of ten percent of the total outstanding units of the REIT. In this article, we will delve into the details of this circular, including the conditions for nomination, the nomination process, and the implications for REIT governance.

Detailed Analysis:

Board Nomination Rights for Unitholders: The circular amends Regulation 4(2)(g) of SEBI (Real Estate Investment Trusts) Regulations, 2014, allowing unitholders with a minimum of ten percent of the outstanding units to nominate one director to the board of directors of the REIT’s manager. This nomination process aims to enhance transparency and unitholder participation in REIT governance.

Conditions for Nomination:

  1. Eligible Unitholders: To exercise board nomination rights, unitholders must collectively or individually hold at least ten percent of the REIT’s outstanding units.
  2. Single Director Nomination: Each eligible unitholder is entitled to nominate only one director.
  3. Entity Limitation: Entities with shareholder, lender, or REIT affiliations cannot nominate a director.
  4. Qualification and Criteria: The manager’s board must establish criteria for nominee directors, including qualifications, evaluation parameters, remuneration, and removal procedures.
  5. Recusal: Nominee directors must abstain from voting on transactions involving their interests, associates, or nominating unitholders.

Nomination Process:

  • First-Time Nomination: The manager informs unitholders of their nomination rights by September 30, 2023. Eligible unitholders have ten days to propose a candidate.
  • Subsequent Annual Nominations: Unitholders receive annual notifications and have ten days to nominate a director.
  • Review of Unitholding: The manager reviews unitholders’ holdings monthly to ensure compliance with the ten percent threshold.

Change and Withdrawal:

  • Unitholders can withdraw nominations or propose new candidates.
  • Nominee directors must resign if their nominating unitholders’ holdings fall below ten percent.

Eligibility Criteria: Candidates for nominee directors must meet various eligibility criteria, including being “fit and proper,” not being a willful defaulter or fraudulent borrower, and not appearing on any list of disqualified directors.

Conclusion:

SEBI’s Circular No. SEBI/HO/DDHS-PoD-2/P/CIR/2023/154 represents a significant development in the governance of Real Estate Investment Trusts in India. Unitholders holding at least ten percent of outstanding units now have the power to nominate directors to the REIT manager’s board. This move is expected to promote transparency and accountability within the REIT sector, ensuring that unitholders’ interests are better represented in decision-making processes.

In conclusion, this circular ushers in a new era of corporate governance for Indian REITs, aligning them with global best practices and bolstering investor confidence in the sector.
