CS VIKAS GUPTA1. Forward to Stock Exchange promptly copy of proceedings of AGM. [Clause 31(d) of Listing Agreement]

2. Submit to the Stock Exchange details regarding the voting result within 48 hours of conclusion of AGM. [Clause 35A of Listing Agreement]

3. Place on the website of the Company and Central Depository Securities Limited results declared along with the scrutinizer’s report immediately on getting report form Scrutinizer. It will also be forwarded to the Stock Exchanges, where equity shares are listed. [Rule 20(4)(xvi) of the Companies (Management and Administration) Rules, 2014]

4. Deposit the requisite amount of dividend in the bank account opened for the purpose within 5 days of AGM. [Section 123(4) of the Companies Act, 2013]

5. Inform the director about shareholders’ approval of his re-appointment.

6. Entries to be made in register of Directors and Key Managerial Personnel and their shareholding. [Section 170 & Rule 17 of the Companies (Appointment and Qualification of Directors) Rules, 2014]

7. Deposit the tax on dividend within 14 days from the date of AGM. [Section 115-O of the Income Tax Act, 1961]

8. Intimate statutory auditors about their appointment. [Section 139(1) of the Companies Act, 2013]

9. File notice of appointment of Auditor in Form ADT-1 with the Registrar within 15 days of AGM. [Section 139(1) & Rule 4 of the Companies Audit and Auditors) Rules, 2014]

10. Dividend must be paid or warrants must be dispatched within 30 days from the date of declaration. [Section 127 of the Companies Act, 2013]

11. Minutes of proceedings of AGM shall be entered in the books maintained for that purpose along with the date of such entry within thirty days of AGM. [Section 118(1) of the Companies Act, 2013 & Rule 25(1)(b)(i) of the Companies (Management and Administration) Rules, 2014]

12. Send copies of the minutes to the SEs within 30 days of AGM.

13. File a copy of special resolutions passed at AGM together with the explanatory statement annexed to the notice in Form MGT-14 with the Registrar within 30 days of AGM. [Section 117 of the Companies Act, 2013]

14. Report on AGM shall be prepared in prescribed manner and shall be filed with Registrar in Form MGT-15 within 30 days of AGM. [Section 121 of the Companies Act, 2013 & Rule 31 of the Companies (Management and Administration) Rules, 2014]

15. File audited financial statements, including consolidated financial statement, with the Registrar in Form AOC-4/AOC-4 XBRL within 30 days of AGM. [Section 137(1) of the Companies Act, 2013 & Rule 12(1) of the Companies (Accounts) Rules, 2014]

16. Deposit unclaimed/unpaid dividend in a special account opened in a scheduled bank titled as “Unpaid Dividend Account………….” within 7 days from the date of expiry of 30 days from AGM. [Section 124(1) of the Companies Act, 2013]

17. File annual return in MGT-7 with the Registrar within 60 days of AGM. Such Annual Return shall be signed by a Director and Company Secretary of the Company. It shall also be certified by a Secretary in Whole-time practice in Form No. MGT-8. [Section 92 of the Companies Act, 2013 & Rule 11 of the Companies (Management and Administration) Rules, 2014]

18. Prepare a statement containing the names, last known addresses and unpaid dividend to be paid to each such person within 90 days of transfer to Unpaid Dividend Account and place it on the website of the Company. [Section 124(2) of the Companies Act, 2013]

    Thanks for such a useful information. But I have one query. If Section 124 is not yet enforced, then it means Point No. 18 in respect of preparing unpaid dividend statement is not relevant. Please correct me. Thanks

    voting result within 48 hours or 72 hours ? so far as my knowledge goes, the scrutineer is supposed to give his report within 3 days of the conclusion of the A G M . will appreciate clarification.
