The Registrar of Companies (ROC), Bangalore, operating under the Ministry of Corporate Affairs, has issued an order imposing penalties on Gameskraft Technologies Private Limited and six of its directors for a violation of Section 117(2) of the Companies Act, 2013. The company itself filed a “suo-motu” application on April 9, 2025, to report its non-compliance. The violation relates to a significant delay in filing a resolution that was passed during an Extraordinary General Meeting (EGM) on November 10, 2017.
According to the order, the resolution should have been filed with the ROC within 30 days of its passing. However, the company only filed the required e-form, MGT-14, on April 4, 2025, resulting in a delay of 2,670 days. The company’s application acknowledged the default, and the ROC’s order was based on this application and subsequent replies from the company’s officials. A formal hearing was not requested by the company and therefore was not provided.
As a result of the violation, the ROC has imposed penalties as outlined in the Companies Act. Gameskraft Technologies Private Limited was fined a total of Rs. 2 lakh. Additionally, penalties of Rs. 50,000 each were levied against six individuals: Ramesh Prabhu, Deepak Singh, Prithvi Raj Singh, Vikas Taneja, Divya Alok Agarwal, and Vimal Kumar Chawla. The order directs the company and the individuals to pay the penalties within 90 days via the ‘e-Adjudication’ facility on the Ministry of Corporate Affairs website. The document also clarifies that the penalties imposed on the officers must be paid from their personal funds.

C. Provisions of the Act: (2) If any company fails to file the resolution or the agreement under sub-section (1) before the expiry of the period specified therein, such company shall be liable to a penalty of ten thousand rupees and in case of continuing failure, with a further penalty of one hundred rupees for each day after the first during which such failure continues, subject to a maximum of two lakh rupees and every officer of the company who is in default including liquidator of the company, if any, shall be liable to a penalty of ten thousand rupees and in case of continuing failure, with a further penalty of one hundred rupees for each day after the first during which such failure continues, subject to a maximum of fifty thousand rupees.
D. Facts about the case:
1. Default committed by the officers in default/noticee – The company has filed a suo-motu adjudication application through GNL-1 vide SRN N29696705 on 09.04.2025 wherein it was submitted by the company that it has violated the provisions of section 117(1) of the Act read with Rule 24 of Companies (Management and Administration) Rules, 2014.
It has been submitted that the resolution(s) passed by the company in the EGM dated 10.11.2017 ought to have been filed within 30 days as per the above mentioned rules. However, e-from MGT-14 vide SRN AB3207452 was filed by the company on 04.04.2025 with a delay of 2670 days, and the company has hence filed this application for adjudication.
2. The company has not asked for a hearing and the same has not been provided. The order is issued based on the application, notice for adjudication, and the replies received.

3. The notified officers in default/noticee shall rectify the default mentioned above and pay the penalty, so applicable within 90 days of receipt of the order.
4. The notified officers in default/noticee shall pay the penalty amount via ‘e-Adjudication’ facility which can be accessed through the respective login IDs on the website of Ministry of Corporate Affairs and upload the copy of paid challan / SRN of e-filing (if applicable) on the ‘e-Adjudication’ portal itself. It is also directed that the penalty so imposed upon the officers in default shall be paid from their personal sources/income.
5. Appeal against this order may be filed in writing with the Regional Director, RD Hyderabad within a period of sixty days from the date of receipt of this order, in Form ADJ setting for the grounds of appeal and shall be accompanied by a certified copy of this order [Section 454 (5) & 454 (6) of the Act, read with Companies (Adjudication of Penalties) Rules, 2014].
6. For penal consequences of non-payment of penalty within the prescribed time limit, please refer Section 454(8) of the Companies Act, 2013.
