PCIT Vs Waterline Hotels Pvt Ltd. (Karnataka High Court)

Karnataka High Court dismissed an appeal filed by the Revenue against the Tribunal’s order, which deleted an addition of ₹33.71 crores under Section 56(2)(viib) of the Income Tax Act, 1961. The case involved Waterline Hotels Pvt Ltd., which had issued shares at a premium of ₹165 per share using the Discounted Cash Flow (DCF) method for valuation. The Income Tax Department contested the valuation, arguing that the company was incurring losses and had no justification for such a high share value. The Tribunal, however, upheld the valuation report provided by a Chartered Accountant, noting that it adhered to the statutory methods prescribed under Rule 11UA(2). The High Court found no legal basis to interfere with the Tribunal’s findings and ruled in favor of the assessee.

The court emphasized that the Assessing Officer (AO) and the Commissioner of Income Tax (Appeals) had rejected the valuation based on subjective satisfaction rather than a detailed examination of the method used. The AO had also cited a statement from a director during a survey, claiming that no valuation report was obtained. However, the High Court noted that the fair market value was determined using an accepted method, and its rejection required concrete findings rather than mere assumptions. In its ruling, the court reiterated that statutory valuation methods must be accepted unless proven otherwise and dismissed the Revenue’s appeal.
