Companies (Management and Administration) Amendment Rules, 2025
The Ministry of Corporate Affairs (MCA) has issued a notification, G.S.R.358(E), on May 30, 2025, introducing the Companies (Management and Administration) Amendment Rules, 2025. These new rules, enacted under the powers conferred by Section 469 of the Companies Act, 2013, are set to take effect from July 14, 2025. The primary amendment involves the substitution of existing e-forms MGT-7, MGT-7A, and MGT-15 in the Annexure of the Companies (Management and Administration) Rules, 2014, with new e-forms. This change mandates companies to use the updated electronic formats for specific filings related to management and administration, streamlining compliance processes. The notification indicates a move towards updated digital filing mechanisms for corporate entities in India.

New Delhi, the 30th May, 2025
G.S.R.358(E)—In exercise of the powers conferred by sub-sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Management and Administration) Rules, 2014, namely:-
1. Short title and commencement. – (1) These rules may be called the Companies (Management and Administration) Amendment Rules, 2025.
(2) They shall come into force with effect from the 14th day of July, 2025.
2. In the Companies (Management and Administration) Rules, 2014, in the Annexure, for Form No. MGT-7, MGT-7A and MGT-15 the following e-forms shall be substituted, namely.-

Annual Return (other than OPCs and Small Companies)
[Pursuant to sub-section (1) of section 92 of the Companies Act, 2013 and sub-rule (1) of rule 11 of the Companies (Management and Administration) Rules, 2014]
