Tata Motors Limited has announced that its indirect wholly-owned subsidiary, TML CV Holdings B.V., has successfully acquired a significant stake in Iveco Group N.V. through a voluntary totalitarian tender offer. As per the provisional results communicated by BNP Paribas, the intermediary responsible for coordinating the acceptance process, 238,157,212 common shares have been tendered, representing approximately 89.42% of Iveco Group’s common share capital, net of treasury shares.

The tender offer, which commenced on 7 September 2026, was conducted under the regulatory framework of the Italian Legislative Decree and the Securities Exchange Board of India (SEBI) Listing Regulations. The acceptance period for the offer concluded recently, with the threshold condition for the acquisition being met. The offer price, initially set at EUR 14.10 per share, was increased by an additional cash component of EUR 0.30 per share, bringing the total to EUR 14.40 per share.

The acquisition marks a strategic move for Tata Motors as it strengthens its position in the global automotive market. The company now holds a substantial majority stake in Iveco Group, a prominent player in the commercial vehicle sector. The final results of the offer are expected to be confirmed shortly, with the payment date for the tendered shares scheduled for 30 October 2026.

In light of the successful tender offer, the terms of acceptance will be reopened for five trading days starting from 2 November 2026, allowing shareholders who did not participate initially to tender their shares. The reopening of terms provides an opportunity for remaining shareholders to engage with the offer under the same conditions.

Analysts view this acquisition as a significant step for Tata Motors in expanding its global footprint and enhancing its capabilities in the commercial vehicle segment. The strategic alignment with Iveco Group is anticipated to yield synergies and bolster Tata Motors’ competitive edge in the international market. The market will closely monitor the finalisation of the offer and its subsequent impact on Tata Motors’ operations and financial performance.
