The Securities and Exchange Board of India (SEBI) issued the Alternative Investment Funds (Amendment) Regulations, 2025, on May 21, 2025. These new regulations amend the existing Securities and Exchange Board of India (Alternative Investment Funds) Regulations, 2012. The primary change introduced by these amendments concerns Category II Alternative Investment Funds (AIFs). As per the revised regulation 17, Category II AIFs are now permitted to invest in investee companies or in the units of Category I or other Category II AIFs, as long as these investments are disclosed in their Placement Memorandum. The explanation further clarifies that Category II AIFs are expected to invest primarily in unlisted securities and/or listed debt securities with a credit rating of ‘A’ or below from a SEBI-registered credit rating agency. This can be done either directly or through investments in units of other Alternative Investment Funds, in a manner specified by SEBI. These regulations came into effect upon their publication in the Official Gazette.

SECURITIES AND EXCHANGE BOARD OF INDIA (ALTERNATIVE INVESTMENT FUNDS) (AMENDMENT) REGULATIONS, 2025
F. No. SEBI/LAD-NRO/GN/2025/248.—In exercise of the powers conferred by sub-section (1) of Section 30 read with sub-section (1) of Section 11, clause (ba) and clause (c) of sub-section (2) of Section 11 and sub-section (1) and (1B) of Section 12 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Alternative Investment Funds) Regulations, 2012, namely, –
1. These Regulations may be called the Securities and Exchange Board of India (Alternative Investment Funds) (Amendment) Regulations, 2025.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Alternative Investment Funds) Regulations, 2012, –
I. In regulation 17, clause (a) shall be substituted with the following, namely, –
“(a) Category II Alternative Investment Funds shall invest in investee companies or in the units of Category I or other Category II Alternative Investment Funds as may be disclosed in the Placement Memorandum;
Explanation – Category II Alternative Investment Fund shall invest primarily in unlisted securities and/or listed debt securities (including securitised debt instruments) which are rated ‘A’ or below by a credit rating agency registered with the Board, directly or through investment in units of other Alternative Investment Funds, in the manner as may be specified by the Board;”
