The Ministry of Corporate Affairs (MCA), through Notification S.O. 3140(E) dated 16 June 2026, has specified the New Development Bank for the purposes of sub-clause (ii) of clause (11) of Section 2 of the Companies Act, 2013. Exercising powers conferred under the said provision, the Central Government has notified the New Development Bank, established under an agreement and its annexes among the Governments of Brazil, Russia, India, China, and South Africa signed on 15 July 2014 in Fortaleza, Brazil, including any amendments thereto. The notification relates to the definition of “body corporate” or “corporation” under the Companies Act, 2013, which excludes certain entities that may be specified by the Central Government through notification.

S.O. 3140(E).—In exercise of the powers conferred by sub-clause (ii) of clause (11) of section 2 of the Companies Act, 2013 (18 of 2013), the Central Government hereby specifies, for the purposes of the said sub-clause, the New Development Bank, established under an agreement including its Annexe amongst the Governments of Federative Republic of Brazil, the Russian Federation, the Republic of India, the People’s Republic of China and the Republic of South Africa signed on 15th July, 2014 at the city of Fortaleza, Brazil and any amendment thereto.

Definitions
2. In this Act, unless the context otherwise requires,—
(11) “body corporate” or “corporation” includes a company incorporated outside India, but does not include—
(i) a co-operative society registered under any law relating to co-operative societies; and
(ii) any other body corporate (not being a company as defined in this Act), which the Central Government may, by notification, specify in this behalf;
