In re Reliance Defence Systems Private Limited (NCLT Mumbai)
Summary : The National Company Law Tribunal (NCLT), Mumbai Bench-II, considered a joint application under Sections 230 to 232 of the Companies Act, 2013, concerning the proposed amalgamation of Reliance Defence Systems Private Limited (transferor company) into Reliance Aerostructure Limited (transferee company). The boards of both companies approved the composite scheme on 7 July 2025, with 1 July 2025 as the appointed date. Both companies are wholly owned subsidiaries of Reliance Defence Limited, and the stated objectives were simplification of the group structure, operational efficiencies, cost savings and reduced administrative compliance.
The transferor company had two equity shareholders, both of whom filed consent affidavits. The transferee company had seven equity shareholders, all of whom also provided consent affidavits. The Tribunal accordingly dispensed with the convening and holding of shareholder meetings of both companies. Neither company had secured creditors as of 30 June 2025, according to the certificates furnished by the applicants.
The transferor company had one unsecured creditor with an outstanding amount of Rs. 11,800, who provided a no-objection letter. The transferee company had six unsecured creditors aggregating Rs. 3,96,56,65,953, and consent affidavits from two creditors representing 97.40% of the debt value were placed on record. On that basis, the Tribunal also dispensed with the respective unsecured-creditor meetings.
Under the proposed consideration, the transferee company would allot 1,40,000 fully paid-up redeemable preference shares of Rs. 10 each against all shares held by shareholders of the transferor company, upon the scheme becoming effective. The Tribunal directed notices under Section 230(5) and Rule 8 to the Regional Director, Registrar of Companies, relevant Income-tax and GST authorities and the Official Liquidator, as applicable. The order specified a 30-day period for representations and directed the applicants to file an affidavit of service within ten working days after service.
The NCLT allowed and disposed of the company scheme application in terms of these procedural directions. Its order dispensed with specified meetings and prescribed regulatory notice requirements; it did not itself constitute final approval of the amalgamation scheme.
