The Registrar of Companies, Patna, issued an adjudication order dated July 10, 2026 under Section 454 of the Companies Act, 2013 for violation of Section 12(3)(a), punishable under Section 12(8). During an inspection of the registered office, it was observed that the company had failed to display its name and registered office address as required under Section 12(3)(a). A show cause notice was issued on June 23, 2026, to which the company replied on July 6, 2026 stating that the name board had been prepared but had not been affixed due to an inadvertent oversight. The company submitted that the registered office remained unchanged, the deficiency was rectified immediately after the inspection, photographic evidence of compliance was provided, and the lapse was technical and without mala fide intention. Upon examining the reply and annexures, the Adjudicating Officer found that the company had not complied with Section 12(3)(a) for the period from June 6, 2026 to July 5, 2026. A penalty of ₹30,000 each was imposed on the company and its two directors. The noticees were directed to pay the penalty within 90 days, and an appeal may be filed before the Regional Director, Kolkata, within 60 days.

ORDER FOR ADJUDICATION OF PENALTY UNDER SECTION 454 OF THE COMPANIES ACT, 2013 (‘THE ACT’) FOR VIOLATION OF SECTION 12(8) OF THE COMPANIES ACT, 2013.
A. Appointment of Adjudicating Officer:

C. Provisions of the Act:
If any default is made in complying with the requirements of this section, the company and every officer who is in default shall be liable to a penalty of one thousand rupees for every day during which the default continues but not exceeding one lakh rupees
D. Facts about the case:
1. Default committed by the officers in default/noticee – According to section 12(3)(a) of the Companies Act, 2013:Every company shall?(a) paint or affix its name, and the address of its registered office, and keep the same painted or affixed, on the outside of every office or place in which its business is carried on, in a conspicuous position, in legible letters, and if the characters employed therefor are not those of the language or of one of the languages in general use in that locality, also in the characters of that language or of one of those languages..
During inspection of the registered office of the company, it has been observed that the company has failed to comply with the section 12(3)(a) of the Companies Act, 2013.
2. A show cause notice was issued on 23.06.2026 for non-compliance of section 12(3)(a) of the Companies Act, 2013. Company has submitted its reply in e-adjudication portal on 06.07.2026 inter alia stating as- It is respectfully submitted that the Company’s name board had already been prepared. However, owing to an inadvertent oversight, it had not yet been affixed at the registered office on the date of inspection. This purely technical lapse should not be construed as an attempt to conceal the identity or location of the Company. At all material times, the registered office remained the same as recorded with the Registrar of Companies, and all statutory records and communications continued to correspond to the registered address. Immediately upon becoming aware of the observations recorded during inspection, the Company, without any delay, rectified the deficiency by displaying the prescribed name board in conformity with Section 12(3)(a) of the Companies Act, 2013. Photographic evidence of such compliance is enclosed for your kind consideration. It is respectfully submitted that the present matter pertains to a purely technical and inadvertent lapse, committed without any mala fide intention, wrongful gain or intention to evade the provisions of the Companies Act, 2013. The alleged non-compliance stood fully rectified immediately upon the Company becoming aware of the observation, and the Company has since ensured complete adherence to the requirements of Section 12(3)(a) of the Act.
E. Order:
1. Upon examination of the reply along with its annexures submitted by the company on 06.07.2026 which is found to be satisfactory, it is observed that the company has not complied section 12(3)(a) of the Companies Act, 2013 for the period from 06.06.2026 to 05.07.2026.
Therefore, penalty is imposed for the non-compliance made by the company u/s. 12(3)(a) of the Companies Act, 2013, for the said period on the company and directors of the company.

3. The notified officers in default/noticee shall rectify the default mentioned above and pay the penalty, so applicable within 90 days of receipt of the order.
4. The notified officers in default/noticee shall pay the penalty amount via ‘e-Adjudication’ facility which can be accessed through the respective login IDs on the website of Ministry of Corporate Affairs and upload the copy of paid challan / SRN of e-filing (if applicable) on the ‘e-Adjudication’ portal itself. It is also directed that the penalty so imposed upon the officers in default shall be paid from their personal sources/income.
5. Appeal against this order may be filed in writing with the Regional Director, RD Kolkata within a period of sixty days from the date of receipt of this order, in Form ADJ setting for the grounds of appeal and shall be accompanied by a certified copy of this order [Section 454 (5) & 454 (6) of the Act, read with Companies (Adjudication of Penalties) Rules, 2014].
6. For penal consequences of non-payment of penalty within the prescribed time limit, please refer Section 454(8) of the Companies Act, 2013.
