Chairman informed the board that Ministry of Corporate Affairs vide General Circular No. 12/2020 dated 30/03/2020 introduced Companies Fresh Start Scheme, 2020 (CFSS-2020). The Central Government in exercise of powers conferred under section 460 read with section 403 of the Companies Act, 2013 has decided to introduce a Scheme namely “Company Fresh Start Scheme, 2020 (CFSS-2020) condoning the delay in filing necessary documents including annual filing with the Registrar, insofar as it relates to charging of additional fees, and granting of immunity from launching of prosecution or proceedings for imposing penalty on account of delay associated with certain filings. Only normal fees for filing of documents in the MCA 21 registry will be payable in such case during the currency of CFSS-2020 as per the provisions of Section 403 read with Companies (Registration Offices and Fees) Rule 2014 and Section 460 of the Act.
“RESOLVED THAT approval of the Board of Directors be and is hereby accorded to Shri (Name of the authorised person), Managing Director of the Company to digitally sign and file e form CFSS 2020 on behalf of the Company as per General Circular No. 12/2020 dated 30/03/2020 issued by Ministry of Corporate Affairs.”

FILING OF FORM CFSS-2020 WITH THE MINISTRY OF CORPORATE AFFAIRS PURSUANT TO COMPANIES FRESH START SCHEME, 2020:
The Chairman informed the Board that the Company has availed the benefit of fee (additional/ penalty) relaxation under the ‘Company Fresh Start Scheme, 2020 (CFSS-2020)’ introduced by the Central Government in exercise of powers conferred under Section 460 read with Section 403 of the Companies Act, 2013 vide MCA General Circular No.12/2020 dated 30/03/2020 condoning the delay in filing necessary documents and statutory returns in several e-Forms with the Registrar of Companies, Ministry of Corporate Affairs during the effective period from 01/04/2020 till 31/12/2020 (as extended). He further elaborated that the Company as a beneficiary of the aforesaid scheme, now requires complying with the Ministry of Corporate Affairs and intimating them the details of such documents and forms filed under the aforesaid scheme and simultaneously applying for issue of immunity certificate under the Companies Fresh Start Scheme (CFSS), 2020 by filing the requisite Form CFSS-2020 with them. The matter was discussed and thereafter it was passed unanimously:-
“RESOLVED THAT the Company did avail the benefit of fee (additional/ penalty) relaxation under the ‘Company Fresh Start Scheme, 2020 (CFSS-2020)’ introduced by the Central Government in exercise of powers conferred under Section 460 read with Section 403 of the Companies Act, 2013 vide MCA General Circular No.12/2020 dated 30/03/2020 condoning the delay in filing necessary documents and statutory returns in several e-Forms with the Registrar of Companies, Ministry of Corporate Affairs during the effective period from 01/04/2020 till 31/12/2020 (as extended).”
“RESOLVED FURTHER THAT Mr. Jayanta Chattopadhyay (DIN: 02771170) and Mrs. Debjani Chatterjee (DIN: 05252230), Directors of the Company be and are hereby, jointly and/ or severally, authorised to file and submit the requisite Form CFSS-2020 and complying with the Ministry of Corporate Affairs by intimating the details of such documents and forms filed under the said the Companies Fresh Start Scheme (CFSS), 2020 and simultaneously applying for issue of immunity certificate under the Companies Fresh Start Scheme (CFSS), 2020 and to do all the needful in this regard.”
