Summary: The National Company Law Tribunal, Ahmedabad Bench, allowed the joint first-motion application filed by Gatil Properties Pvt. Ltd., the transferor company, and Ganesh Housing Ltd., the transferee company, on specified terms concerning their proposed amalgamation. The application, filed on 16 September 2026 under Section 230 and Section 232 of the Companies Act, 2013, read with Sections 52 and 66 and the applicable rules, proposed amalgamation of the wholly owned subsidiary into its listed holding company as a going concern from the appointed date of 1 April 2025. The applicants stated that the arrangement would simplify their corporate structure, consolidate operational capabilities and resources, eliminate inter-company transactions and strengthen the transferee company’s financial position. The subsidiary’s shares held by the holding company and its nominee were proposed to be cancelled without any fresh allotment by the transferee company.

The transferor company had two equity shareholders, both of whom had furnished consent affidavits. It had no secured creditors or preference shareholders and had 31 unsecured creditors with outstanding debt of Rs.142,52,77,287 as on 30 June 2026. The transferee company had 33,191 equity shareholders, two secured creditors with outstanding debt of Rs.171,69,86,781 and 329 unsecured creditors with outstanding debt of Rs.568,82,65,606. The applicants submitted that no compromise was offered to the relevant creditors and that their liabilities would neither be reduced nor extinguished. They also placed financial information showing assets exceeding liabilities, including the expected position after amalgamation. Referring to the Bombay High Court’s decision in Mahaamba Investments Ltd. v. IDI Limited, the Tribunal considered the absence of prejudice to creditors and the continuing asset surplus relevant to dispensation of meetings.

The Tribunal dispensed with the transferor company’s equity shareholder meeting because both shareholders had consented by affidavit. It also dispensed with the meeting of its unsecured creditors and the meetings of the transferee company’s secured and unsecured creditors, recording that creditor liabilities would not be reduced or extinguished and that assets would exceed liabilities after amalgamation. Meetings of the transferor company’s secured creditors and of preference shareholders of both companies did not arise because those classes were absent. Ganesh Housing Ltd.’s equity shareholder meeting was directed to be held on 21 November 2026 at 12 noon through video conferencing or other audio-visual means to consider and, if thought fit, approve the scheme with or without modifications.

The Tribunal appointed an independent chairperson and scrutinizer and prescribed remote e-voting and voting during the virtual meeting. The order addressed quorum, the absence of proxy facilities, participation through authorised representatives, publication of advertisements, electronic notices, access to the scheme and supporting documents, and filing of compliance affidavits and the meeting report. It recorded the requirement for approval by a majority of votes cast by public shareholders under the SEBI Schemes Master Circular dated 20 June 2023, with a separate report on public shareholder voting. Notices were also directed to the identified statutory authorities, stock exchanges, income-tax authorities and other applicable sectoral regulators.

The application was allowed subject to these procedural directions; the order did not finally sanction the amalgamation. The applicants were required to explain the proposed appointed date of 1 April 2025, considering that the application was filed in September 2026 and financial-year compliances might be completed before the shareholder meeting. They were also directed to explain the applicability of Section 52 and Section 66, compliance with the respective conditions and the proposed accounting entries. Replies to both queries were to accompany the second-motion petition.
