Summary: The Securities and Exchange Board of India (SEBI), through Circular No. HO/17/11/17(7)2026-DDHS-POD2/I/24929/2026 dated 2 November 2026, has reduced the cooling-off period for Offer for Sale (OFS) transactions involving illiquid private listed Infrastructure Investment Trusts (InvITs) to ±8 weeks. The amendment modifies paragraph 19.2 of Chapter 1 of SEBI’s Master Circular dated 30 December 2024 and follows feedback from market participants aimed at facilitating ease of doing business. The OFS framework applicable to listed equity shares continues to apply to REIT and InvIT units, subject to specified conditions. For InvITs, the trading lot must match the secondary-market trading lot prescribed under the SEBI (Infrastructure Investment Trusts) Regulations, 2014. Retail investor provisions do not apply to OFS transactions involving private listed InvITs, and such offers remain open for only one trading day (T day). The circular takes immediate effect and requires recognised stock exchanges to implement necessary system changes, amend applicable rules and bye-laws, and disseminate the revised requirements to market participants and investors.
