The Securities and Exchange Board of India (SEBI) has issued new regulations to amend the Securities and Exchange Board of India (Investor Protection and Education Fund) Regulations, 2009. These new rules, titled the Securities and Exchange Board of India (Investor Protection and Education Fund) (Amendment) Regulations, 2025, came into effect upon their publication in the Official Gazette on September 1, 2025. The key amendment involves adding a new provision to Regulation 4(1), which outlines the sources of funds for the Investor Protection and Education Fund. Specifically, the new clause (1a) states that the fund will now include “monies transferred in accordance with clause (c) of sub-regulation (3) of regulation 38B of the Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2021.” This change expands the fund’s sources to include monies from specific delisting processes. This action was taken by Amit Pradhan, Executive Director of SEBI, under the authority of the SEBI Act, 1992.

SECURITIES AND EXCHANGE BOARD OF INDIA (INVESTOR PROTECTION AND EDUCATION FUND) (AMENDMENT) REGULATIONS, 2025
F. No. SEBI/LAD-NRO/GN/2025/256.—In exercise of the powers conferred by section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Investor Protection and Education Fund) Regulations, 2009, namely:-
1. These regulations may be called the Securities and Exchange Board of India (Investor Protection and Education Fund) (Amendment) Regulations, 2025.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Investor Protection and Education Fund) Regulations, 2009 –
I. in regulation 4, in sub-regulation (1), after clause (l), the following clause shall be inserted, namely, –
“(la) monies transferred in accordance with clause (c) of sub-regulation (3) of regulation 38B of the Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2021;”
II. in regulation 5, in sub-regulation (3),
i. in clause ii, the words and symbol “and (l)” appearing after the words and symbol “clauses (j), (k)” and before the words “of sub regulation (1)” shall be substituted with the words and symbol “,(l) and (la)”.
ii. in the proviso, in clause ii, the words and symbol “and (l)” appearing after the words and symbol “clauses (j), (k)” and before the words “of sub regulation (1)” shall be substituted with the words and symbol “,(l) and (la)”.
