Amendment of the Income tax Rules, 2026 to provide conditions which a registered non profit organisation shall require to fulfil for merger under section 352(4) (Table Sl. No. 8) and 354A of the Income tax Act, 2025.

Income-tax (Eighth Amendment) Rules, 2026: CBDT Prescribes Merger Conditions for Registered Non-Profit Organisations

Summary: The Central Board of Direct Taxes (CBDT), Ministry of Finance, has notified the Income-tax (Eighth Amendment) Rules, 2026, through Notification No. 139/2026, G.S.R. 961(E), dated 30 October 2026. The amendment further modifies the Income-tax Rules, 2026, by inserting Rule 189A to prescribe conditions governing the merger of registered non-profit organisations having the same or similar objects, for the purposes of sections 352(4) [Table: Sl. No. 8] and 354A of the Income-tax Act, 2025.

The newly prescribed conditions distinguish between organisations registered and provisionally registered under section 332, restricting mergers between these two categories. They also address outstanding tax demands, payment of disputed demands after appeals attain finality, continuity of charitable or non-profit objects, transfer of assets and liabilities, and safeguards against direct or indirect benefits to related persons. The merged organisation must assume specified tax and compliance obligations of the merging organisation, including obligations relating to application and accumulation of income, specified income, investment of funds and additional income-tax.

The amendment further requires intimation to the jurisdictional Principal Commissioner or Commissioner in the newly introduced Form No. 112A within one month from the end of the month in which the merger takes effect. It prescribes electronic filing through digital signature or electronic verification code and provides for the treatment of pending assessments and other proceedings. Both organisations must also have their books of account audited as on the merger date.

The rules introduce Form No. 112A, containing details of both organisations, the merger date, a declaration of compliance and supporting annexures, including trust deeds, registration documents, merger resolution, audited accounts and reasons for the merger. The amendments come into force from the date of publication in the Official Gazette.
