TML CV Holdings B.V., an indirect wholly-owned subsidiary of Tata Motors Limited, has successfully completed its voluntary totalitarian tender offer for the common shares of Iveco Group N.V. The offer, which commenced on 7 September 2026, concluded on 26 October 2026, resulting in TML CV Holdings B.V. acquiring approximately 89.42% of Iveco Group’s common share capital, excluding treasury shares. This acquisition was confirmed by BNP Paribas, the intermediary responsible for coordinating the collection of acceptances.

The offer, which was amended on 9 October 2026 to include an additional cash component of EUR 0.30 per share, brought the total price per share to EUR 14.40. A total of 238,157,212 common shares were tendered, representing approximately 87.81% of Iveco Group’s common share capital. The aggregate countervalue of the shares tendered, calculated based on the amended price, amounted to EUR 3,429,463,852.80.

Following the successful completion of the offer, all conditions have been satisfied, rendering the offer fully effective and unconditional. The payment for the shares tendered during the acceptance period is scheduled for 30 October 2026. Additionally, the terms of acceptance will be reopened from 2 to 6 November 2026, allowing remaining shareholders the opportunity to tender their shares.

The strategic acquisition aims to consolidate Tata Motors’ position in the commercial vehicle segment by integrating Iveco Group’s operations. Analysts suggest that this move could enhance Tata Motors’ capabilities and market reach, potentially leading to synergies and operational efficiencies. The market will be closely monitoring the integration process and its impact on Tata Motors’ financial performance in the coming quarters.
