Summary: The National Company Law Tribunal, New Delhi Bench, Court-VI, disposed of the first-motion application concerning the proposed merger by absorption of Cyber Media Research & Services Limited, the transferor company, into Cyber Media (India) Limited, the transferee company. The joint application was filed under Sections 230 and 232 of the Companies Act, 2013 read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016. Both companies have their registered offices in Delhi. Their respective boards approved the scheme on 24 January 2026, and the appointed date stated in the scheme is 1 April 2026. The order grants meeting-related directions and disposes of the application; it does not finally sanction the merger.
The applicants stated that combining the transferor’s ad-tech and data-analytics business with the transferee’s technology-media operations would create operational synergies, reduce duplicated administrative and compliance costs, improve resource utilisation and cash-flow management, and enhance shareholder value. The transferee holds 38.17% of the transferor’s equity shares. The valuation report dated 23 January 2026 proposed allotment of 35 fully paid equity shares of CMIL of ₹10 each for every eight fully paid equity shares of CMRSL of ₹10 each. The scheme also provides for continuity of employment without a break in service, employment terms no less favourable than existing terms, recognition of past service for retirement benefits, and transfer or merger of employee benefit funds subject to the concerned authorities’ approval. The record included financial statements, board resolutions, shareholder and creditor certificates, valuation and accounting-treatment documents, and stock-exchange no-objection/observation letters.
As recorded in the order, the transferor had 434 equity shareholders, two secured creditors and 133 unsecured creditors with aggregate dues of ₹32,20,01,480.03. One secured creditor representing 98.57% of its total secured-creditor outstanding amount had furnished consent. The transferee had 11,880 equity shareholders, two secured creditors and 118 unsecured creditors with aggregate dues of ₹12,82,67,374.14. Both its secured creditors, representing 100% of the secured-creditor outstanding amount, had consented. The applicants sought dispensation of secured-creditor meetings in terms of Section 230(9). No consent affidavits had been obtained from the equity shareholders or unsecured creditors of either company. After considering the submissions and documents, the Tribunal dispensed with both secured-creditor meetings and directed meetings of the equity shareholders and unsecured creditors of both companies.
The meetings are to be conducted through video conferencing with remote e-voting, with the venue, date, time and mode decided by the Chairperson in consultation with the applicants’ counsel. Rahul Bhatnagar, IAS (Retd), was appointed Chairperson and Sameer Ali was appointed Scrutinizer, with fees of ₹3 lakh and ₹1.5 lakh respectively, besides incidental expenses, payable by the applicants. Individual meeting notices must be sent 30 days in advance together with the scheme, explanatory statement, share-exchange ratio and prescribed documents. The companies must explain the scheme’s effect on creditors, key managerial personnel, promoters, non-promoter members and directors’ material interests, and circulate provisional financial statements not older than six months before the meetings. Advertisements must appear at least 30 clear days beforehand in the English and Hindi Delhi editions of Business Standard, and meeting notices must also be published on the companies’ websites, if any.
The order requires notices in Form CAA-3, with the prescribed documents, to the Regional Director (Northern Region), Registrar of Companies, Official Liquidator, jurisdictional Income Tax Department and Chief Commissioner of Income Tax, and applicable sectoral regulators. Reports are to be submitted within 30 days of receipt, failing which absence of objection is to be presumed. Copies of the scheme must be supplied free within one day of a requisition by an eligible meeting participant, and an affidavit proving service, publication and compliance must be filed at least one week before the proposed meetings. Clause 28(e) requires the Chairperson’s report within two weeks of the conclusion of e-voting and/or postal ballot, while clause 28(l) separately requires reporting meeting results in Form CAA-4 within seven days of the meeting’s conclusion.
